i think it is pretty unlikely that the company itself is deliberately lying about BoD holdings or about significant stakes held by others, i think the company will have accurately reported the information about buys, sells and holdings that they have been given by others. …

… but as to whether other parties have or haven’t given timely and accurate information to the company about holdings and purchases, well that is a different matter. …

… worth noting, the potential penalties for inaccurate disclosures are rather different for company directors, versus non-directors - putting that plainly, non-directors have rather less to worry about, even if they were still resident in a jurisdiction where penalties could potentially be put in place and enforced.

it is also worth noting that it’s quite common in the history of AIM shares for third parties to eventually notify late or fail to notify at all entirely by regrettable mistake/oversight/failing of admin staff … putting it another way, it’s usually very hard to prove that a failure to disclose sales etc in a timely manner was an act of dishonesty, which requires proof of intent to deceive.

the bare fact of the matter is, that it has been many years since any member of the BoD bought shares in this company out of their own pocket.

…. many companies receive frequent expressions of interest from other companies throughout their business year about potential deals to buy or sell assets, to offer/agree contracts, to explore possible joint ventures, etc etc. …. but that absolutely does not mean that most companies spend most of their time in closed periods. just ordinary business practice.
