STILL negotiated trade to buy any so clearly stock very much in demand on the buy side therefore any fool selling is being fleeced it’s got to give very soon and we go to next level up - this may then create a bit of snowball action with the demand + no availability of any from tiny stock float. Agree on the 2.00s. Take whichever view you like but the risk v reward has much upside here. This deal is pants and shareholder ‘s might will strongly band together to veto it. Plus the other parties interested who we don’t know names of won’t be giving this away to a rival bidder for just 1.2 million - at a push I could get my hands on that…now there’s an idea! 1.40 to buy smaller volume and Negotiated Trade for large volume if you can pick some up I’d be quick as it’s all smoke and mirrors on the real spread. Literally no point in selling here sellers what’s the point you’re playing into MM hands and filling the ii buys on the book! Let them pay higher!

3 weeks in which other bidders to come in with higher offer than the low ball and a reminder shareholders have to vote for this and there’s no reason for shareholders to vote for this so all like me will be VOTING NO AGAINST inc no doubt significant shareholders not on the board who also don’t get anything if board got their way. The BOD need 75% of the vote to say yes and agree to this ****ty deal so clearly on simple maths that’s not going to happen.

Other brands takeover may swoop in eg Ashley/Boo/ASOS/Very/ Next/Otto/JD to name a few who I’m sure would like this in their portfolio and could do a better job than who we have on board now underlined by the fact we have this ridiculous situation of a drop from IPO of 108 million worth to an absurd offer for 1.2 million in 18 months!
All to play for and in this business expect the unexpected and a rival to be buying here to get a big say in the vote or enough stock collected to effect a hostile takeover or RTO. So why sell now when potentially on a rival snapping up this could 20 x bag!

ALL SHAREHOLDERS have a vote it’s not a done deal the CEO and Independent Directors total sum is just over 23% so against and voting NO will be all other shareholders. No other shareholders will vote for this obviously! The BOD needs 75% to say yes. That’s clearly not likely now is it.

PLUS there’s the likelihood of more offers coming to the table from the previous interested parties pre vote on 24th or the SP being pushed up by other parties acquiring stock on open market. Take your pick but it’s not game over. It’s a proposal at this stage and requires over 75% to pass.

When it’s quiet and you can buy as soon as it flips you’ll be locked out as last 2 days when no volume on buy side was to be had.

This is what ii do they rest from buying, let the price drift then buy and keep buying. The tiny free float makes it volatile. I’ve been buying. There’s 3 weeks here to collect and they have too. Watch the price if they have to notify market of another higher offer! And imho there’ll be more than one.
Up to everyone else what they do but look at the frenzy once MM decide to flip it and the ask gets raised once more. They will still take all my holding from me in one pop!

If he votes there has to be over 75% of the vote in favour at the moment the total inc independent directors is just over 23% so it’s not a fait a compli! The majority of other significant holders would not vote yes would they - they will forge their might I’m guessing against it in total there’s circa 18% then we have retail pi shareholders who won’t vote yes. Then there’s the buyers since RNS news both ii/pi to add. It’s nowhere near a certainty + there is more than enough time for the following pre vote to happen
*Another party makes a higher bid offer (very likely)
*Another party/parties accumulate/and or with consortium of holders to effect a hostile takeover
*Another unlisted rival brand accumulates stock on open market to effect a RTO to obtain a listing and incorporate this brand

There’s a lot to play for here.

It’s so pathetic low ball offer I mean come on! They couldn’t raise 1.2 million did they try I want I know it doesn’t say they tried normally they would say we couldn’t raise appetite to raise via ii etc etc. But nothing on that front. If they’d raised 1.2 million even amongst retail open offer for shareholders they’d get to keep entire amount too and could easily raise more than 1.2 million!

Furthermore we know there’s been strategic buyers around from the RNS they aren’t simply going to disappear now because of this absurd decision recommendation by independent directors (not inc AF)they now can buy the company on open market for peanuts heck some of us here can easily buy up more than a 3% stake here at these prices!

What was the timescale? Why the rush rush rush suddenly at the end of a long review? Why didn’t they look at a placing in this time we know eg all retail shareholder’s would’ve engaged with this so why wasn’t it suggested? We need to know the ins and the outs of their ‘recommendations’. We deserve to know and see the whole picture here.

I’d add is this why we are seeing so many buys on ECHO and SINT flags as ‘many from outside the UK’ And presumably cash flow is low as new ranges for S/S coming forward hence cash lower. Jan/Feb always difficult in retail and non essential markets.

Reading through RNS on Monday and now with a bit more clear head how could we all have missed this VITAL bit! It’s the Independent Directors i.e.not AF who have recommended this so AF could also vote against this! Look below and read carefully the wording we have all assumed he has agreed but it is the ID’s Independent Directors who have proposed that we should accept the low ball deal. Where does it say that AF is in agreement it doesn’t!

‘Considering, amongst other factors, the comprehensive review of options undertaken as part of the Strategic Review, the Company’s near-term trading environment, its current liquidity position and Baaj's scale and extensive sector expertise, the Directors other than Adam Frisby (the "Independent Directors") have unanimously concluded that it is in the best interests of the Company, its Shareholders and other stakeholders to sell ITSFL to Bidco.‘

This is why it never added up so if he doesn’t vote for it and IF he has a stance of not in best interests then this is going to go mental here.
Read the above! ‘other than Adam Frisby’ why would they say this if it didn’t mean he isn’t in agreement for this proposal or recommends it? He holds majority of stock so if he doesn’t recommend then how would he vote for this! So there’s a real chance he won’t!

Same trading pattern as yesterday exactly now as spread 1.45-1.60 so let’s set our watches for 11.30- midday and attack again on 1.80’s as per yesterday I think we can make it to 2.00s even. If you want some better take some now then as Ask will be forced higher and higher.
Follow the money as someone is clearly collecting what little stock is available here!

Twib you stealing my line lol - in answer to your question on how far could this spike I think easily as pressure builds on the acquirer of stock we move into 4-6 territory as there’s 3 week period. It will become like hens teeth soon!

Yes we finished on 1.55 and went to 1.80 yesterday think despite the MM constant switching around of the price we move higher and a higher base will be forming. They are indeed having trouble to collect stock sellers at this level simply being fleeced. Buyers about to come in again and each trade makes a difference (minimal free float) especially on the buy side as demand is obviously very strong but no stock available. MM will therefore be forced to take it higher to release more. Sellers who panicked have sold their stock now and it sits in other hands but strong buying appetite remains and the collector/s is/are clearly collecting! Follow the money which is coming in to here not out.
On a technical level it’s due a massive bounce!

Someone is buying up a lot of stock from the pattern of trading if it was being dumped in millions we would be able to pick it up however much we wanted easily. But we can’t. So there has to be imho a buyer/buyers/ a bidder /bidders/ rival brand/ a takeover/takeover hedge consortium or something. This whole scenario doesn’t add up if you look at the company CEO SM feed the one thing that stands out is his absolute pride on listing the company for 108 million pounds the rags to riches story I can’t see that he would just roll over and allow a pathetic offer 1.2 million (WTF) for the company to be accepted. Maybe he is with other backers looking at alternative ways to do this. I think he must. He is essentially the company in terms of the face of the company which presumably is why the low ball bidder wants him as the CEO still. This has now got to be looked at again they need to rethink. I maintain and ask to all shareholders reasons why they couldn’t perform a placing weeks ago. Why? Any answers? In all the time company has been listed no money apart from the IPO has been raised. Shareholders need to come together and I suspect there’s some who were involved with ipo who are again not going to roll over here and will also be coming up with alternatives to this ****shower of a strategy. Shareholders won’t vote for this obviously they won’t. So what’s next…I maintain someone is collecting and it’s going to be like taking candy from a baby taking the company over what a steal on open market now if they collect enough here. 3 weeks to go!

Let’s face it market makers have pretty much tried everything thrown it all at us to relieve us of stock…I wonder why they want them so very much? Question is who are they collecting for?
