BTC made an SEC filing to raise capital for their III fund, the notification on July 30 was simply a progress update and not an indication of failure to raise the stated funds, as stated by AIMOracle and TopAimer earlier (18.30-ish).

This has absolutely nothing to do with the Ebioss/BTC deal.

HoF was given as an example of regardless of what it stated about a deal, it can be voided at any time, contrary to financial advice.

At the moment one could do worse than reading the "expert" opinion of AIMOracle and TopAimer as I claim no professional qualifications. However, I strongly recommend doing some in-depth research on the veracity of their comments.

We will have to agree to disagree as I fail to see how the issue of appoximately 1,000,000,000 shares (including warrants) at an average price of 0.675p is beneficial to EQT.

You do realise that in your scenario there would be over 460,000,000 shares issued at 0.6p plus warrants at 0.75p under the same terms for Ebioss to exercise their Conversion rights?

And that this would be acceptable to the institutional investors?

You are correct in that Ebioss have a "Conversion Deal" with EQT whereby on the issuance of further shares they are able to purchase shares from EQT to maintain their plus 50%.

It still remains my firm belief that Ebioss will lend EQT sufficient funds to cover and prevent any further issue of shares by Friday, along with placing new directors on the EQT BoD.

Which is precisely why Ebioss have the "Conversion Facility" which basically guarantees that Ebioss can keep their holding above 50%, ergo my suggestion that the issue of shares has been put on hold to enable Ebioss to lend at least sufficient funds to EQT to pay the sums due under the shares for debt issue. As I pointed out yesterday, EQT have four days to amend this and pay the debt rather than issue shares.

An RNS on or before August 3 should clarify.
