CONTRACT PROPOSAL
From: Toyota Motor Corporation – Kenta Kon, CEO
To: Seeing Machines – Paul McGlone
Date: April 1, 2026
Subject: Proposal for Strategic Supply Agreement – Driver Monitoring Systems (DMS)
Dear Mr. McGlone,
Toyota Motor Corporation is pleased to present this proposal to establish a long-term strategic partnership with Seeing Machines for the supply and integration of advanced Driver Monitoring Systems (DMS) across Toyota’s next-generation vehicle platforms.
1. Scope of Agreement
Toyota proposes that Seeing Machines will design, develop, and supply its DMS technology for integration into Toyota’s global Advanced Driver Assistance Systems (ADAS) architecture. The solution is expected to support enhanced in-cabin monitoring capabilities, including driver attention tracking, fatigue detection, and real-time intervention systems.
2. Technical Framework
The proposed DMS solution will be integrated alongside semiconductor platforms provided by Qualcomm, ensuring compatibility with Toyota’s scalable vehicle electronics architecture. The system must meet stringent performance, reliability, and safety standards across all vehicle segments.
3. Safety and Compliance Objectives
A core objective of this partnership is to ensure that equipped vehicles achieve 5-star safety ratings under the 2026 protocols established by Euro NCAP. The DMS solution will be a key enabler in meeting driver monitoring and safety compliance requirements in global markets.
4. Production and Rollout Plan
Toyota proposes a start of mass production (SOP) in 2028, with phased deployment across major markets including North America, Europe, and Japan. The agreement will cover multiple vehicle programs and platforms over a multi-year lifecycle.
5. Commercial Terms
The total estimated value of the agreement is expected to reach multiple billions of USD over the duration of the contract, subject to final vehicle volumes, program expansion, and agreed pricing structures. Detailed commercial terms, including unit pricing, licensing, and support services, will be defined during final negotiations.
6. Collaboration and Governance
Both parties will establish joint engineering and program management teams to ensure seamless integration, validation, and production readiness. Regular governance reviews will be conducted to monitor performance, milestones, and strategic alignment.
