The problem with your assessment of MFDevCo is that is not actually a start up company. It was incorporated six years ago as ABT Oil and Gas Limited or (ABTOG) and has changed its name on a few occasions. ABTOG in turn is the love child of Advanced Buoy Technology Limited, incorporated nine years ago.

The company has changed purpose from buoys, to self-installing platforms, to re-usable platforms, to normally unattended installations, to owning design rights, to writing field development plans, to managing fields, to stranded assets, to global ambitions, and now to GTW. There is more focus to be had in a Scotch mist than in this quest for El Dorado.

On a side note, Advanced Buoy Technology Limited, the owner of the rusty yellow dolphin in Dundee, seems still to be in business with no income, as part of the Minty owned stable of nags. It is still reporting to CH and apparently owes its creditors £6million, which is more than the total market value of NUOG, and yet there is no going concern comment in the accounts.

One day this will be lawyers feast to unravel.

If the excess application comes into play, 17.31 goes out of the window. If you are eligible to apply for the lot and get them, that is 1:1, not 17.31:1

The open offer has been structured in such a way that ever single shareholder must participate in order to sell the 83.33 million shares on a 17.31:1 basis, and that includes the directors. If the take up is poor, the latest date for applications may be extended and the excess application will come into play. That is what happened at the recent QFI open offer and it was still under-subscribed, resulting in lower than expected funds.

So, for example someone with 17.31 million shares can apply for 1 million shares at 0.3p, but the same person could and did buy them for 0.28 today.

We all know that perhaps 10% of the company shares are in the hands of the folk who demanded an open offer at the AGM (god knows why). What about the other 90%? How many of that 90% are in the hands of folk who put their shares in their will box in St John’s years ago, or folk who will simply walk away if the SP spiked on news. A 50% crash requires a 100% recovery on news and that is a trader’s dream. It’s the old gap theory which many TA traders adhere to.

That will change with the new English bonds. The complexity of tax haven entities is beyond public scrutiny by design.
