Just listened to the interview and was overall very encouraged by what was said. His comment that all of the debt was now in the hands of Altair was a strange thing to say, having correctly said earlier that he was pleased to have reduced the EcoFinance debt. That debt is being repaid monthly over a period and presumably will still continue to be, but over a shorter period than originally agreed.
In the admission document it was noted that Altair agreed that (i) the maturity date of the CLNs be extended to 14 July 2020 (ii) the interest rate applicable to the CLNS would vary and (iii) the price at which the CLNs convert would be �0.585 per share. As regards the interest rate, from 1 November 2017 until the final maturity date of 14 July 2020, interest would accrue on the outstanding principal amount of the CLNs at a rate of 15 per cent. per annum. However, if the Company repaid the CLNs in full between 1 November 2017 and 30 April 2018 (inclusive) or between 1 May 2018 and 1 November 2019 (inclusive) then the interest rate payable on the outstanding principal of the CLNs would reduce to 9 per cent. and 12 per cent. respectively. Arising from these changes, the Company would pay Altair interest outstanding on the loan to July 2017 of �300,000 after Admission and grant to Altair warrants to subscribe for 105,263,158 Ordinary Shares exercisable at �0.975 per share for a period of five years.
I have read this a number of times and to me it is ambiguous. It says that the interest rate on the outstanding principal of the CLNs would vary if the Company repaid the CLNs in full. Well if they had been repaid in full, there would be no CLNs on which there was interest to vary!
My assumption is that what it meant to say was that, in the first instance, if some repayment of the CLNs was made before 30 April 2018, the interest chargeable on the balance of the CLNs would reduce to 9% from 15%.What does anyone else think?
The chairman also said that he was hopeful that the company would announce completion on the Hull and Newcastle contracts soon and that they were in an advanced stage of agreeing a link up with a major European EPC contractor which would be announced shortly. Good to hear that.
