Everybody has there own way of dealing wit things, You are biased, as you have sold, I am biased, as think the company, is better positioned now than it was at the height of its popularity. Time will tell who is right or wrong. Lets see where we are in 12 months, because if we are in the same share price area or below in 12 months we will be in trouble. MOSCOW, July 8 (RAPSI) — Moscow's Tverskoy District Court has arrested in absentia Alexey Maslovsky, son of Pavel Maslovsky, the former director of gold mining company Petropavlovsk Plc, the press service of the court informs RAPSI on Thursday.

The Tverskoy District Court ruled to detain Maslovsky for a period of two months from the date of his transfer to Russian authorities in the event of extradition or deportation to the national territory, or from the moment he is apprehended on the territory of the Russian Federation, court said.

Alexey Maslovsky had been charged with embezzlement on an especially large scale.

Currently, Pavel Maslovsky is being held in custody. Investigators believe that in 2018 he and sine other defendants involved in the case embezzled about 100 million rubles (about $1.3 million at the current exchange rate) of the enterprise.

Petropavlovsk Plc is a large gold mining company registered in London. The mines are located in the Russian Far East.

Clock is ticking. If a SPA is entered into ("Signing"), the release of the Guarantees (or at least the execution of legally binding agreements which provide for the termination of such), is expected to be achieved within 180 days from the later of Signing and Consent, or such later date as agreed by the parties, failing which the agreement will terminate.

If Stocken is unable to demonstrate satisfactory progress in meeting this deadline within 90 days from the later of Signing and Consent, and which it cannot resolve within 10 business days, any SPA may be terminated by Petropavlovsk on 5 business days' notice provided that Gazprombank has not released or agreed to release Petropavlovsk from the Guarantees by this time.
Under the preliminary agreement, it is proposed that following Signing, the shares held in IRC by Petropavlovsk will be transferred to Stocken within 10 business days of the later of the Guarantees being released and Petropavlovsk's noteholders consenting to the transaction, if required ("Completion"). A cash consideration of US$10 million is payable by Stocken for the 29.9% shareholding up to 31 December 2021 ("Consideration"). The Consideration will be subject to adjustment if IRC undertakes a share or other capital issue at less than the market price of the shares at the date of the Agreement but prior to Completion.
Under the preliminary agreement, it is proposed that the SPA will include a put option ("Option"), which may be exercised by Stocken, to provide them with a period of time to complete additional due diligence in relation to their equity investment in IRC. It is not proposed that the Option may be exercised should there be a deterioration in IRC's performance (as outlined below) and thus would incorporate downside protection for Petropavlovsk.

The proposed Option is proposed to be capable of exercise by Stocken between the date of Completion and full payment of the Consideration or 31 December 2021 (whichever is the earlier). Should the Option be exercised by Stocken, the 29.9% shareholding in IRC will be returned to Petropavlovsk and any Consideration paid up to that date will be returned to Stocken. There would be no effect on the guarantee release and the IRC shares which Petropavlovsk transferred to Stocken upon Completion will be returned to Petropavlovsk without the Guarantees attached.

Proof of the pudding,

The Company announces that it has been notified by Gazprombank ("GPB") that GPB has consented to the Proposed Transaction. Accordingly, the Agreement has now become binding upon the Group.



The terms of the Proposed Transaction remain as set out in the Agreement and as announced on 18 March 2020. As announced at that time, completion of the Proposed Transaction remains conditional upon:



· Termination and irrevocable release of the Group from all loan guarantees given to GPB under the facility agreements signed between Kimkano-Sutarsky Mining and Beneficiation Plant LLC (a subsidiary of IRC) and GPB in December 2018 ("Guarantees"); and

· The receipt of any consents that may be required under the Company's US$500 million 8.125% notes maturing November 2022 or confirmation by the Board that none is required.



There can be no certainty that the conditions precedent will be satisfied and, as such, that the Proposed Transaction will proceed to completion.

There is a concerted effort to keep this share price low. Dont know if anyone else has noticed this but, every day this week, the final share price has been lower than the bid an offer spread. I looks to me as if orders are being placed below the prevailing price to either try and keep it lower, or possibly enable people to buy at even lower prices possibly to reduce shorts.

It will be very interesting to see if there are any RNS or reduction or change in shorts. It is just very unusual to have this happen virtually every day.

I would imagine Stocken will also need to provide their guarantee. Su until this happens we will retain our holding. All the company have stated is that once gazprombank agreed to release guarantee then it is cast in stone, but, Subject to the other things happening and I believe it has to be concluded by a certain date, but off the top of my head can't remember date that was mentioned.

Lawrence13, You say why didn't the new bod, get involved, I would say the same thing myself, apart from the fact that they have stated once Gazprombank agreed to release the guarantee it was said in stone. But, please don't blame the new bod for this, Pavel agreed this deal not the new CEO, HE WASNT EVEN HERE. So to try to blame the new CEO for actions of his predecessor is ludicrous. You have still not had one bad word to say about PAVEL, But you are very very quick to put the blame on the new board who haven't had a twentieth of the time that Pavel had.

rbrand, for obvious reasons I don't know Lawrence13. The amount of shares he says he has, he has said that from the outset. He said he purchased in the rights issue, then he said he purchased another lot later on, I believe when a property was sold. I have no reason to disbelieve him. As for the postings with Hambro, He did say he wasn't sure if he was talking to the " real Peter Hambro " in his posts. Unfortunately, some people do not know that the company can not comment on things that are not in the public domain, and Lawrence13 has often put questions on here.

I for one think he is genuine. If you do not that is your choice. I think, ( could be wrong ) it is someone frustrated at seeing a share price in the 40s drop be nearly half. I am frustrated as well, but I try to to let sentiment get the better of me. All the best.

samsom3, you have not got a clue, a lot of these problems stem from the previous bod and its incumbents. Why sell at 11.5 when you can sell now and rid us of your nonsense.

The performance in the first half was very poor, no idea what it would have been like if Pavel and his merry men ( and women ) were in tandem. But one thing is for sure. Performance needs to improve drastically.

The only positive I can take is pure guesswork, Maybe just maybe, they have bought in third party concentrate and paid for it in thefirst half, to maximise the profit in the second half.

But, I do think it is a very lame first half.
