Let's say here in the UK you are a producer of Corn Flakes... You are eyeing up an agreement with a C-store distributor and find that low and behold Kelloggs are supplying these stores too with corn flakes, does that mean you should throw in the towel?...
What better way than giving the consumer the choice of corn flakes...

There is enough footfall in all 88,000 stores even if products do overlap within whatever retail space they are selling into...

You are absolutely correct that there are numerous other CBD companies engaged through contracts to supply through the AATAC partners.

When you did your google for 'AATAC CBD' did you have a check at "what products" many of these other CBD producers are supplying?

Zoetic are not supplying Tinctures or Topicals or patches as the Zoetic brand of products are not being introduced to the US at the moment... They are supplying the Chill brand which consists of tobacco/nicotine free smokes and chew pouches.

Now if you can find and evidence any other suppliers of these unique products with partnering agreements with AATAC then your statement would have greater credence.

As you say "You need to read the RNS properly" then one should see what product space Zoetic are selling into and whether there are equivalents already there with AATAC...

Yeah Cranleigh I agree there.. I remember way back 20 odd years ago I think wasn't there some challenge in the EU courts over restrictive clauses in contracts breaching EU law. I have had similar back then with notice period with employer to employee being 1 week however the notice period for employee to employer being 1 month, I had that amended as 'unfair' contract clause to be the same for each party. Remember also that Nick is a qualified Lawyer with heavy law experience, just look at the "charge" (although likely a standard format) that was drawn up at the beginning of the JV. So I would have full confidence that Nick would not put himself in a position to breach any legal agreements with Zoetic.

Although as RKB posted and I found out earlier Voyager Life the Ltd company was only formed a matter of 10/11 days ago, VoyagerCBD has been on the go since very early August, if you have a look at their twitter feed/facebook/instagram etc you will see activity since August ((much less so on our own Zoetic uk & chill uk twitter/facebook)) So it's not as though Voyager has just sprung up like a jack-in-the-box from now where.

What we don't see and haven't seen is either of our co-CEOs attending (virtually) any conferences or summits. That's why I found the CISW summit presentation by Nick interesting. There are some very useful takeaways in his presentation (obviously it was pre-announcement of the EU narcotic ruling) which I won't list here...

I was thinking of 'rowing back' my post on the other thread re Kansas assets... As you say, interesting negotiations.. Whether Zoetic pulled the plug on including them with DTU in the transaction to Path after finding Path was then on-selling to Gasrock or whether Zoetic wanted a 'cleaner' transaction. It's funny though that Gasrock tweeted as completing Kansas from Path. Then not long after Kansas was pulled from the Zoetic/Path transaction then Gasrock have now shelved their IPO until next year.

That may also be why Paul exercised his options in Zoetic, as it would be rather unusual for him to still hold share options in Zoetic and be involved at director level with a competitor in VoyagerCBD. Again that's maybe why Trevor and Antonio bought them once exercised to save them going to the market. We may never know the threads that go throughout these business transactions....

I'm sure we will find out re DTU/Kansas assets/patents etc when the spiders webs come together at some point...

Absolutely agree Bobbydavro. The tobacco/nicotine replacement market is where the big money will be made over the next 10+ years and Zoetic, with the Chill brand, is uniquely positioned to capture a large slice of that market.

I'm looking forward to an RNS release before year end, 5 weeks away, and most likely with the 6 month interim results though maybe before that announcing we have crossed the 1,000 store threshold. :-)

Would there be non-compete clauses in the contracts Cranleigh?

Would that form what would be considered restrictive covenants?

To take a different example, when a manager/coach and 'back-room' staff leave a football club (either my mutual consent or otherwise) does that stop then from becoming a manager of another club? or any of the staff joining another club?

Remember when Nick departed Zoetic as CEO the initial period after was a joint venture between Nick and Zoetic to resell the Zoetic products in the UK etc, so Zoetic as a Company would be happy with Nick being a separate entity and dealing in the CBD business. If, as happened, the JV was dissolved after a period, for whatever reason, then I don't think Zoetic could object to Nick selling any other CBD products. What we are not party to is whether during or after the JV is was exclusive for Zoetic products or not.

It's not really an issue anyway as Zoetic are concentrating on the tobacco/nicotine replacement products with the rollout of Chill in the US.

Yeah agreed RKB, spotted yesterday, in my own weekly Companies House research, and was wondering if they were perhaps looking at something in connection with Zoetic...

Also think that with Paul Mendell exercising his 1 million options, if it was him, and selling directly to our co-CEOs whether Gasrock would be coming to some agreement Zoetic directly to take the Kansas assets now that the arrangement with Path has been modified to exclude them.

We shall see how the webs come together in the near future.. :)

A roundly good update today, everything ticking along to schedule. Continued engagement with the FSA re novel foods application, obviously with close collaboration with the ACI. Great news, separately, on the EU ruling on CBD. Vast vast market within the EU for our products. I would anticipate the EU rollout(s) quickening in pace next year.

Not sure what folks thoughts are, but for me the most pertinent paragraph, which has not had any comment, is the following:

We already learnt through the post-AGM presentation that Zoetic are heavily using CMS to guide them through the differing and sometimes quick changing regulatory minefield in many countries we are venturing into. What lends to us being guided in perfectly safe hands is the fact that CMS have a dedicated CBD division. How many law firms do you know that have dedicated CBD divisions? Probably a few but not many I bet. Above all this give me even more confidence that we will be successful in compliance with in-country regulations in whatever countries we cross into to sell our products, whether Zoetic brand or Chill brand.
