LtdAxis, it is not as bleak as Old Mother Hubbard.

We know this cake sale began on the first business day of this month and this was all to basically get a piece of cake worth about £12,000 (see post 28th January at 21:54)

How greedy are some people that they are so hungry for £12,000 because that is what it is greed.

There are some positives like the low number of shares in issue (not billions) and when FG decides to close the Bakery on Friday at 4:30pm I am sure he will have something to say early next month.

What I have attempted to articulate is what we are all up against in all AIM Companies that we may have purchased shares in, we get the crumbs if they want us to get them and only after they have had their fill.

I am still holding (not sold any since I last informed the B.B.) and believe it or not will buy a little more at the appropriate time assuming “The For Sale” sign does not go up in the Bakery.

How big is a piece of cake?

So we come to the Clear Leisure Cake. We all thought we had bought a piece of an enormous Italian Cake, one that would make the Guinness Book of Records the size of 20 football pitches, covered in thousands of gallons of Ondaland cream, topped with 5 enormous Exclusive Sardinian Strawberries but it turned out to be a big Swiss Gateau in the expectation that the cake was edible and not out of date. We also all thought that our cake would become more desirable the longer we owned it and never thought that the price of the cake over the years would actually go down or be forced artificially down, but it was and is.

ForCrowd got a large piece of the cake and then were given more cake at the expense of others because as Chriszzr kindly informed us all yesterday at 7:41am quote "Non Protected Portfolio - A non-protected portfolio transaction or a fully disclosed portfolio transaction. Normally a transaction of a number of stocks dealt with by one market maker at an agreed discount to the market price". End quote

I know ForCrowd have eaten 5 slices of cake this month with 11,509,317 calories and they could have another bite for up to 2 million more calories before the bakery closes on Friday at 4:30pm. As this cake is so desirable ForCrowd are going to be given some free cake, which will contain up to 4,713,553 calories.

This bakery is not selling cakes to you or me at normal prices and buys their stock at artificially lower prices of 0.25p per slice to the determent of all cake buyers.

Do you think this is morally correct? If you had known that supply and demand did not apply to this Bakery would you have bought your cake from them in the past?

PS Just a thought but maybe it was a January Cake Sale for the whole month at a special selling price for a Loyal Customer at 0.25p a slice but as they are pals we have to pay the price. Now will the price of the cake go up in February?

How big is a piece of cake?

I believe if you have been brought up with high morals / values then you tend to adhere to those morals / values.

In the 1960’s when I was a teenager, my younger brother and I would go to the local swimming baths 5 days a week during the summer holidays if we were not somewhere else on holiday. After about 3 or 4 hours swimming we would call in at a local bakery and buy a strawberry tart each, for I believe six pence. After a week or so we realised that for one shilling and six pence (or a little more) we could buy a large strawberry sponge a lot bigger than our little strawberry tarts.

We would then go and sit on Dumbarton Quay behind the local high street and watch the swans and “split the cake”. Trying to divide a cake, especially a strawberry one was not easy and a bit messy the first time but on the second occasion we used one of our pen knives. Most teenagers in the 1960’s had pen knives or mini Swiss Army knives, how appropriate they were / are made in the Land of Eufingest)

We were taught by our parents that you always have to treat everyone fair and act as you would like others to act. So we both took turns at cutting the cake and you can imagine it may not always have been split in two equal halves, but we knew from our parents that if you cut the cake you let the other brother (person) choose which half they wanted. This ensured that we both took great care in ensuring that the cake was cut as evenly as possible so that neither of us was “disadvantaged”.

PS Sometimes my brother and I would share our cake with three friends, they all paid six pence each and we cut the cake in half and then divided one half in three and they all got a piece of the cake with at least two strawberries (so they had twice as many strawberries than if they had bought a single strawberry tart. The best bit was that my brother and I halved the other half and ate a quarter of the cake for FREE.

Information Icon

On the Trades information icon there can sometimes be valuable information that can become knowledge as to what is happening.

I voiced my concern to FG about ForCrowd being granted an extension to sell some of their shares until this Friday but I was told / informed / suggested that this was not a concern to be concerned about. I also made a point that I have recorded every trade from 15th November 2019 and I am still recording.

So as I have posted previously I thought it strange that for 17 straight days we closed at a BID of 0.25p. But it is not strange when you know why.

On the icon for the larger “buy” yesterday it said “Ordinary Non Protected Portfolio Single Protected Transaction”.

You will find this on various dates this month, 2nd 14th 16th 17th and 27th (yesterday) all 5 transactions were large transactions and total 11,509,317 which is only a little shy of the 13,333,200 in the previous post.

What this means is that he has between 1.5 million and 2 million still to dump.

Now you have to go back to the first business day of the year and study the first of the two transactions (there is a difference of 100,000 between them) and then ask yourself with a spread of 0.28 – 0.32 how did he only get 0.25p for a small amount and then you realise that was to set the scene for 0.25p for the next 17 days. Note this transaction had “Ordinary Non Protected Portfolio Single Protected Transaction”.

So we all thought that the Market was dictated by buyers and sellers, how could we have thought that?

So how it works.

Well what you do is agree to sell up to €40,000 of ForCrowd shares and have an arrangement (a legal arrangement which has been approved by BoD and Nomad) that if you sell at a notional loss on what you yourself exchanged shares for (the 20% in ForCrowd, that is the 54,218,847 at a price of 0.3482p) and if you were only to achieve a selling price of say 0.25p then Clear Leisure will “make up” 90% of your loss.

So let us say you sell 1 million at 0.25p then you would receive £2,500 but this 1 million shares were issued at £3,482 so the gross loss is £982 and 90% of this is £883.80.

Now as you are going to be issued with new shares to make-up your loss then we have to decide on what price to issue the new shares at and let’s make it easy and issue them at Nominal Value of 0.25p. So for £883.80 you would give yourself 353,520.

It is not easy to work-out an exchange rate of €40,000 into GB £ and I think the current spot rate is 1.18 but I will use 1.20. So this would convert to about £33,333.

So he can sell £33,333 worth of shares up until 31st January 2020 which “if” all sold at 0.25p then he could sell about 13,333,200 and obviously receive £33,333 and the value he got them at was £46,426 so the paper gross loss he would “suffer” is about £13,093.20p and 90% of this is £11,783.88 and he would then be given about 4,713,553 replacement shares.

So on the above calculations he sells say 13,333,200 shares and gets back 4,713,553 and £33,333 cash the net effect is he will have technical only have reduced his holding by about 8,619,647. So really ForCrowd (in case you forgot the name) would have a revised holding of 45,559,200.

But I know you are thinking that he can’t sell all his shares at 0.25p but you would be wrong.

PS Now hypothetically let us assume that you had £33,333 to invest in Clear Leisure and you were able to buy in the Market at no more than say 0.25p (I can hear you say “impossible” is it?) But if you could then you would be able to buy 13,333,200 shares and then you would have or your “friends” would have 13,333,200 more shares.

I did say I wanted to post on Geosim and there is a big one that you are still missing but as I said busy at the moment.

I note today’s RNS came out at 7:09am not normal but then is our Company “Normal”?

I note that there are some positives with PBV Monitor which are encouraging but how can we “invest” €15,000 in the PBV Convertible Loan, when from our Interim Results we only have €3,000 in cash? Oh I forgot we had a loan of €250,000 from someone going under the guise of Eufingest SA on 30th July 2019. Oh I nearly forgot we also received some additional funds like the above of €150,000 & €30,000 on 16th October 2019 note it was not €180,000 in one lump sum but split into two sums but from “Eufingest” obviously it has to be correct as this information has been approved by BoD & Nomad!

PS As I drove back home this morning, driving over the Kingston Bridge in Glasgow there was a lot of debris on the outside lane. I noticed about 5 or 6 dark coloured sort of carpet tiles, black in colour and the texture looked like Tarmacadam and I immediately thought how novel of Glasgow Council to throw down some bits and cover up some potholes.

Well who would have thought that we are now at 0.22p – 0.27p?

Well I am pleased as this presents a situation that will make T20 Traders realise that by gambling using credit is extremely risky.

The small sell this morning could have been a T10 Trade but if not it gets another small trader off to look at other “bargains”

ForCrowd: Technically if they have sold their €40,000 worth of shares then they had 48 hours to inform the Company and as FG does not really do TR1’s then they have to update AIM Rule 26 with change in significant shareholders as ForCrowd will have crossed a percentage threshold.

I hope that our bid price remains below nominal and yesterday I said to a few trusted friends ideally I would like it at 0.22p as this messes with any further ForCrowd potential sales (if they have not already sold their €40,000 worth in total)

PS There is a potential T20 Trade of 2 million that has to close or rollover next Monday and hopefully they get why I said previously strong sell. It is called pay-back time.

PPS The second small sell this morning only lasted 2 weeks.

Pandoras Box Part 11

EasyArt Holdings 03878512 is the parent company and Easyart Ltd 03850720 is the subsidiary (the one that has the big debt and may go under if more funds are not “put in”)

The original shareholders of Easyart Ltd were issued their shares between 30/09/1999 and 15/10/1999 (see previous Post for who they are and their holdings)

EasyArt Holdings issued their “A” shares to Brainspark Plc (Clear Leisure) on 26/11/1999

EasyArt Holdings issued their “B” shares to all the shareholders in EasyArt Ltd on 26/11/1999

Basically only weeks past from incorporation to of Easyart Ltd they were given “B” shares in EasyArt Holdings and so began the saga.

We basically funded the company with £400,000 and our loan and then after 8 years FG got fed up and retrieved what he could.

Pandoras Box Part 10

EasyArt Holdings the parent Company of Easyart Ltd, Company number 03850720 is the Company where Brainspark Plc owned ALL the founding shares, the “A” Shares 26,236 which we paid £400,000 for (and “lent” someone or somebody or something a lot of money that went AWOL

Brainspark Plc were appointed as a Director of EasyArt Holdings from 5/02/2002 till 4/07/2008 (when I believe the relationship was not as cordial as one would like)

FG often attended Board Meetings not in person but on the phone and he was a lone voice often (more on that later)

Easyart Ltd, Company number 03850720 had a financial year ending on 30/09/2000 but by 2002 the year end was moved to 31/12/2002.

I have examined the accounts that are available on Companies House for Easyart Ltd, Company number 03850720 and I have applied my own accounting calculations so as to be consistent with what information was available because although information was brief (only lodged the bare minimum when they could by approval of whoever was their Auditor at the time)

For example in 2010 the Accounts were only 7 pages, 2011 & 2012 8 pages but 2013 they were 22 pages. This was because the Company changed its name on 7/07/12 to would you believe King & McGraw Ltd? There appears in the 2013 a lot of information that was never disclosed (I would say hidden) such as Turnover £5.4 million, gross profit per employee £40,566 from a turnover per employee £72,125. Also for first time tells you the three directors received £255,584 (the next year they get £431,769)

By 2017 they revert back to minimal information and the accounts are only 12 pages.

So 2000,2001,2002,2003,2004 & 2005 my losses are calculated as :

Then in 2006, 2007, 2008, 2009 & 2010 my profits are:

£59,321 £59,216 £442,116 £133,673 £205,790

2011 my losses are £80,530 2012 my profits are £1,215,909

Then for 2013 – 2018 my losses are:

£161,669 £228,425 £24,982 £211,616 £297,992 & £331,347

What I am highlighting is that Easyart Ltd, Company number 03850720 could have been “presented” as a basket case and as such we lost out big time.

Pandoras Box Part 9

Easyart Ltd, Company number 03850720 was incorporated on 30/09/1999 note this date.

You may recall in Pandoras Box Part 5 Brainspark Plc was incorporated on 9/02/2000 only three months after Easyart Ltd, Company number 03850720 was incorporated.

The initial shareholdings of Easyart Ltd on 15/10/1999 were

Total shares issued 11,118 Nominal Value at start £1 paid in total £11,118.

On 22/10/1999 EFG Reads Trust Company were issued with 75 shares paid £75.

At this point there are 11,193 shares in issue but the Company says there are 11,194 and this is never corrected. Then on 2/11/1999 they change nominal value to 1p so the 11,194 shares in issue become 1,119,400 and the Company has the Authority to issue up to 998,880,600 additional shares if they want to.

On 15/11/1999 Simon Hayes-Fisher was issued with 5,000 shares and total shares in issue becomes 1,124,400.

The shares in issue remain constant at 1,124,400 till 1/12/14 when 3,500,000 are issued at £1 each fully paid!!!! (don’t forget Clear Leisure lent the company some money which “disappeared”)

Throughout the past 19 years there is no record of the above shareholders ever transferring their shares but from as far back as 28/11/2001 all the 1,124,400 shares are not held by individuals but by EasyArt Holdings.

Pandoras Box Part 8

EasyArt Holdings have this subsidiary called Easyart Ltd, Company number 0820816 and this is the Company that pops up on the initial search at Companies House.

You would think that this was the subsidiary that had “the debt” of £1.4 million and I could not possibly say there was any intention of anyone to miss-lead anyone who may want to research an “old” investment (Company)

Easyart Ltd 0820816 was incorporated on 10/09/2012 (not 1999) and dissolved on 18/12/18. Shared two common Directors with EasyArt Holdings and another very similar Company called believe it or not Easyart Ltd, Company number 03850720 and this is the one I am focusing on shortly.

Note the names: Ian Darryl Brooker and Marc Lickfett as they will pop up a few times, like Directors of Easyart Ltd 0820816, Easyart Ltd 03850720 and EasyArt Holdings 03878512.

So why go to the expense of setting-up a Company, not trade it and then dissolve it after 6 years? There are expenses to file documents at Companies House but for some undisclosed reason (I know) they kept it “running”

Pandoras Box Part 7

EasyArt Holdings: Their shares issued in the beginning were “A Shares” and there were 26,236 shares and Brainspark (Clear Leisure) owned all the shares. Paid £15.25 a share and in total paid £400,099.

But they then go on to issue B, C & D shares. “B Shares” issued 78,608 paid £786 in total but there is an error at Companies House when they said they paid £7,861 per share which would have been £617,937,488 which would mean they planned to sell millions of framed art prints on the Internet!

We find out from Clear Leisure that we had a 25% stake in EasyArt Holdings as at 26/11/99 so you would think our £400,000 (will ignore the £99) would mean that we have invested in a Company worth £1.6 million, would you not?

Well one year later EasyArt Holdings has a “debt” of £1.4 million from its subsidiary EasyArt Ltd and they say this debt may not be recoverable unless they secure further external finance!!! And we bought into this only one year before?

Nominal Value 0.25p

So for every business day in January we have closed at a BID of 0.25p which is our Nominal Value, how convenient.

We have had the ForCrowd “person” (you know who you are) potentially selling shares worth up to €40,000 hanging over us since 15th November 2019.

There was a little tick-up on the BID after the 15th December 2019 when the original period for ForCrowd to “sell” had expired but because the BID was below Nominal Value for all but two days (9th December & 12th December) this presented an anomaly in that how do you issue the shares that FG so freely wants to give to this “Person” (ForCrowd)?

So we have a little “spurt” (how appropriate after a couple of Posts were removed today) after the 15th December 2019 and this allowed a “window” for this “Person” (ForCrowd) to unload some shares.

We will eventually hear from FG what this “Person” (ForCrowd) has done but will we still be ignorant as to what their game plan is, are we, have we all been PAWNS.

Very disappointed as to the direction of travel, so disappointed I am going out for a meal in Glasgow tonight and it will not be Italian wine as there is nothing to celebrate.
