If we assume that the A shares and Ordinary shares are both of equal value and you take £24 as the most recent price (last placing was 4th March 2020) then you can do a quick calculation of “the skin” each Director has in Engage. Note there is no guarantee that any or all of the Directors paid £24 for their shares (information is there on Companies House if you dig very deep)

Praed Holdings £5,200,008, have some common Directors: Howard Hughes, David Kubyk, Gareth Larson, Adam Lee, Wayne McDonnell, Ex Director Paul Longega, Ex Director Drey Francis, Ex Director Alex Fraser, Ex Director David O’*****. What I personally conclude from all the Directors & Ex Directors being involved with Praed Holdings is “golden handcuffs”. If you were to look at their Confirmation Statement you will see many cross-shareholders with Engage.
What you will see from Praed Holdings most recent Annual Accounts filled 28th January 2020 is:
1 The Principal Activity of the Group in the year under review was that of payroll and workforce supply chain management.
2 The total distribution of dividends for the year ended 31st May 2019 was £706,918.
3 Turnover £85 million.
4 Gross Profit £2 million.
5 Profit attributable to Owners of the Parent £1.4 million.
6 Under note 10 it clearly states who gets how much of the £706,918 (you have to cross-reference who owns what shares and what type)
7 Under note 23 it notes the cross holdings etc and a dividend of £1.5 million paid.
So in answer to what does it mean “change in share class name or designation” is that maybe they will change the A shares to Ordinary shares but what I like is the relationship between Praed Holdings & Engage Technology Partners Ltd and the turnover of £85 million and the profits of £2 million and then there is the dividend of £706,918.
You have to ask the question why have Primorus Investments Plc invested £1.45 million (about one third in value of all their investments to date) into & Engage Technology Partners Ltd? I believe that this investment of £1.45 million will generate a great percentage return than Greatland Gold which at present is up 350.71% as at yesterday’s close at 8.6p.
