I hold my shares and my family’s shares via HL Nominee Account.

If you understand the historic shareholders then you have information as to where exactly and who exactly hold shares in QBT.

Geosim

We currently own 4.53% of Geosim.

I need to tread carefully with what I say about Geosim.

Long ago the old CLP had 51.7% of Geosim (see Annual Report 2003 note 14 page 28)

There is a lot of history behind our investment in Geosim and if you do some research you will maybe understand why FG will never sell our shareholding in Geosim, even if we were offered silly money.

FG’s 10% Deal

In the 2020 Annual Results detailed in the Directors Report (see Page 12) FG received total renumeration of €267,000 and it said, “The difference between 2019 and 2020 figures is due to 10% bonus to Francesco Gardin on liquidation of historic assets (i.e., Mediapolis settlement in 2020), as per his contract with the Company.”

In the 2021 Annual Results detailed in the Directors Report (see Page 14) FG received total renumeration of €454,000. This year we do not have any narrative as to how it goes from £60,000 basic salary to €454,000.

We did receive the balance of €182,068 from the Mediapolis settlement but that only accounts for €18,207.

I do not know how we get to €454,000. It is not as if FG receives 10% from Placings because “According to the terms of engagement of Mr Gardin, he will receive an annual salary of £60,000, half of which will be in shares. In addition, Mr Gardin will receive a bonus equal to 10% of the realised value of any assets disposed after his appointment.”

FG shares:

Francesco Gardin Executive Chairman and CEO renumeration has always been £60,000 since 2015 when he was appointed. Ignore the ones who post excessive amounts for FG’s salary.

FG has a clause in his contract (if you attended AGM’s you would have had sight of it) to exchange half his salary for shares in QBT (and the old CLP)

Throughout the years FG has exercised his right.

We do not know how many shares FG will receive for 2021 but I estimate about 967,742 for his £30,000.

Now would it not be nice if we were to here soon that FG has received less than 1 million shares for half his salary of £30,000? Would that prick up a few ears?

Muddy Waters

But where the money flows, accusations of fraud follow and in 2020 there has been no shortage of examples of businesses claiming high ESG credentials with little merit.

In the UK, the biggest culprit is arguably Boohoo (BOO). Fast fashion itself is an environmentally damaging industry and Boohoo has the added sin of cheap delivery and returns policies, which contribute to huge plastic waste. Throw in the host of related party transactions and poor working conditions and the company managed to fail at all three ESG hurdles.

These issues, along with dubious free cash flow figures and inconsistencies in the profit-and-loss statement were pointed out by activist short seller Shadowfall in a research note published in May.

The company’s credibility and share price took a further hit in July when the factories owned by third-party suppliers in Leicester were accused of slave-like working conditions. Fund managers who had slapped ESG stickers on their portfolios were quick to dump their Boohoo shares.

Questions have been asked about why they were included in ethical portfolios in the first place.

In part, such scandals might be expected, given the ESG industry’s relative infancy. “There is absolutely a danger stalking the sector right now in that, like any fashions in finance and any birth of innovative new activity on the back of a zeitgeist shift, you’re moving from what was basically a cottage industry into a massive enterprise almost overnight,” argues Gillian Tett, Financial Times US editor-at-large and founder of the ESG-themed newsletter Moral Money (see page 51). “There’s going to be challenges around whether you can get the infrastructure sufficiently mature sufficiently fast enough to avoid accidents.”

So yesterday the Troll who Posted 36 times on a share he does not own went up and the share he “says” he owns went down.

Now if he was to continue with his trolling then it looks like BOO will be down again today.

What were you last Friday? I believe he said you were 53p he is doing an excellent job here and that’s before I do a Muddy Waters of your Accounts.

Will he take the hint? I doubt it. Oh well down we go, what another two or three pence today.

I did ask him to do what John Sweeny says to Little Puttin but it looks like he is deaf.

Excellent Update & Informative Interviews

We have had an excellent update about the substantial improvement of about 30% “Preliminary results of Machine Learning Method “B” indicating 30% improvement over commercially available ASIC chip-based miners.”

We have had two excellent interviews with Francesco Gardin, our CEO and Executive Chairman of QBT.

But unfortunately the Trolls that infest our B.B. are not happy and are doing their damndest to rubbish what FG and our 20 experts have achieved, why?

I do not include LtdAxis with the usual suspects, he earns his living by his always negative slant, buys-in then on the slightest increase in the share-price he exits and then goes on about anything to sow a seed of doubt. One day he may reflect that what he does is noted with all LTH and if he is walking down a street he should watch out for a bus. LtdAxis knew we had an excellent update so he bought but he will be gone as soon as he sees his tiny target.

Core Scientific

In their November update they mined 1,295 Bit-coins.

They have 243,000 owned ASIC Servers.

Now what sort of deal would QBT be able to negotiate with a Company like Core Scientific?

Market being unkind to FG

The Market has been unkind to FG and QBT today.

We had an excellent RNS this morning.

I spoke to Francesco early this afternoon.

I said that we need to look at our RNS communication not being the “normal RNS”

Issuing this fantastic news of a 30% improvement maybe not via PRN but through the proper RNS channels then we could have opened-up possibly +30%.

If at 8:15am we were top of the Leaderboard then the herd may have arrived and pushed us up say to 50% and then it just takes off. Maybe our next communication will be an actual RNS.

You are correct, they have until November 25th to appeal, not an appealing hearing.

Because I know the reputation of the father and son of Ondaland (at least one of them is one of the guilty 12) the other 9 or 10 will not want to cross these guys or they will end up like Roberto Calvi under Blackfriars Bridge.

The guilty will all pay up. We will get our money.

I expect we will hear soon who we will be licensing our technology to for revenue generation.

Sixth: I posted about the Paten Office because I was letting Posters know how to locate a new Patent that is lodged. I disagree with a lot that was posted recently regarding the Patent Office. It is my understanding that it is a Thursday that the information is updated not Wednesday, so maybe if they did their research then they would know for sure.

Seventh: I talk to many people (trusted PI’s) who are invested in QBT and many have written to PR, FG and the Company, it does not take an Einstein to work out the FG would have to issue some sort of update with the status of the testing.
Eighth: The Venice High Court award of €6.2 million (€11,455,359 with add-ons) will have the appeal hearing on 25th of November and we will know if their appeal is successful. It will not be. Patience will be rewarded.

Ninth: I am not selling, I have set no limit orders and I have given Addisonshare an assurance that when I set any limit orders I will let him know.
