Now in black & white you have it, not one of the A Ordinary Share Holders or the Ordinary Share Holders have paid anything for their shares. You may be scratching your head and trying to work out what is going on. Technically at the very beginning £100 in total has been paid but really all the shareholders have paid £0.
So what we have now is a large number of people and Directors (who are tied into the company) who need to ensure that they get their reward. What better way to have a person connected to the company with golden handcuffs?
There have been six placings with “private investors” for 596,246 shares and Engage Technology Partners Ltd have received £10,517,410 (and that original £100 remember that?)
Engage Technology Partners Ltd has gone from 4 employees in 2017 to 48 employees in 2018.
One final point: There is an Independent Director who also works for Microsoft; Paul Longega and they say and I quote “Paul is CMO at Microsoft UK. He has deep expertise and passion for Cloud, SaaS, Digital Business & Market Disruption. Paul was asked to evaluate Engage for a potential investor and having decided it was ideally equipped to disrupt the £35bn UK recruitment market, he accepted an offer to join the board as NED. Engage benefits from Paul’s exceptional experience derived from his roles as Chief Marketing Officer at Microsoft UK, as VP at Rackspace (leading managed cloud provider) and Director of Marketing at Insight, a Fortune 500 provider of digital innovation, cloud / data centre transformation, connected workforce and supply chain optimization solutions and services” end quote.
Paul Longega has 46,021 Ordinary Shares and 53,069 A Ordinary Shares worth in total at £22 each £2,179,980. Now if Paul leaves he hands back his A Shares (worth £1,167,518) so I think he will be there till the IPO.
IPO of Engage or a buyout from say Microsoft at what price? I believe £100 a share will not secure the BoD’s acceptance.
