Now in black & white you have it, not one of the A Ordinary Share Holders or the Ordinary Share Holders have paid anything for their shares. You may be scratching your head and trying to work out what is going on. Technically at the very beginning £100 in total has been paid but really all the shareholders have paid £0.

So what we have now is a large number of people and Directors (who are tied into the company) who need to ensure that they get their reward. What better way to have a person connected to the company with golden handcuffs?

There have been six placings with “private investors” for 596,246 shares and Engage Technology Partners Ltd have received £10,517,410 (and that original £100 remember that?)

Engage Technology Partners Ltd has gone from 4 employees in 2017 to 48 employees in 2018.

One final point: There is an Independent Director who also works for Microsoft; Paul Longega and they say and I quote “Paul is CMO at Microsoft UK. He has deep expertise and passion for Cloud, SaaS, Digital Business & Market Disruption. Paul was asked to evaluate Engage for a potential investor and having decided it was ideally equipped to disrupt the £35bn UK recruitment market, he accepted an offer to join the board as NED. Engage benefits from Paul’s exceptional experience derived from his roles as Chief Marketing Officer at Microsoft UK, as VP at Rackspace (leading managed cloud provider) and Director of Marketing at Insight, a Fortune 500 provider of digital innovation, cloud / data centre transformation, connected workforce and supply chain optimization solutions and services” end quote.

Paul Longega has 46,021 Ordinary Shares and 53,069 A Ordinary Shares worth in total at £22 each £2,179,980. Now if Paul leaves he hands back his A Shares (worth £1,167,518) so I think he will be there till the IPO.

IPO of Engage or a buyout from say Microsoft at what price? I believe £100 a share will not secure the BoD’s acceptance.

Engage share structure background continued:

On 10th March 2017 seven directors are appointed and three days later one director resigns. On 21st May 2017 another director is appointed. One year later on 6th March 2018 another director is appointed.

Of the directors above only one has no “A ordinary shares” technically there is another director who does not have any “A ordinary shares” but he resigned on 10th March 2017.

You may think the above stuff with “A ordinary shares” and directors is not that important but it is key to the success of Engage Technology Partners Ltd when you see how the “A ordinary shares” play out.

If you study the Articles of Association you will see that the “A ordinary shares” must convert within three years to Ordinary Shares at NOMINAL VALUE not £15 or £22. There is also a clause that if you leave or resign you have to give your “A ordinary shares” to the BoD who will offer them to other “A ordinary share Holders”.

What this means is that 7 of the 9 directors have “A ordinary shares” in total 214,049 worth £4,709,078. Technically you would think there would only be 78,600 A shares but it appears the splitting of the A and Ordinary shares happened before the A shares were issued.
There is the first real confirmation shareholder list lodged on 4th July 2017 and it is here that you get an accurate list of all shareholders for both types of shares. The most recent confirmation shareholder list was lodged on 12th July 2018 and PRIM appears on this list with only 49,395 as we had not yet bought our other shares.

What does all this really mean? Well looking at the most recent Annual Results filled on 18th December 2018 for year end 31/05/18 and looking at the called up share capital it is £7,109,842. When you look at the 6 palcings the company has raised £10,157,410 as at 12th December 2018 but at the placing before year end it was £7,109,742. You add in the £100 original nominal capital of £100 and you have the correct figure of £7,109,842.

Research

Primorus Investments Ltd have a total investment in Engage Technology Partners Ltd of £1.4 million and bought shares originally at £15 and then £22. We have 72,122 shares and taking a price of only £22 that is worth about £1,586,690.

Engage share structure background:

In March 2014 there were 100 shares of £1 each fully paid so nominal capital is at this point £100 (remember this figure)

In February & March 2017 there is a split in shares to A Ordinary Shares and Ordinary shares and then the nominal price is changed from £1 to £0.0001 and technically there are now 1 million shares but around this time the split has 78,600 A Ordinary Shares and rest just Ordinary Shares (remember the nominal capital is £100 still and is fully paid)

Then we are informed on 3rd March 2017 that the Articles of Association are being changed if shareholder(s) approve (which HE DID)

Particular attention should be paid to Page 8 “Listing”, Page 18 5:5 & 5:6 which means A Ordinary Shares convert to Ordinary Shares, Page 27 12:5 which means the A Ordinary Shares must only pay the nominal value (but remember the £100 nominal value / amount has already been paid!)

Shareholders List:

All companies on Companies House have to disclose their shareholders (Listed Companies on an Exchange have their own rules like on AIM we have AIM Rule 26)

The first Confirmation Statement (this is the document that details stuff about shares and share holders and nominal value etc) is dated 3/03/17 and it is here you see 921,400 shares and 78,600 A Shares total 1,000,000 and £100 nominal capital all paid up. But this is also where “Ship Shape Resources Ltd” appears (note this)

Again I have read all the documents at Companies House on Engage Technology Partners Ltd. When Primorus Investments Ltd made our first investment in Engage in September 2017 I began researching everything I culd about his company and the people connected to it. Over the past 18 months I have updated my knowledge and in the past few days have re-analysed everything about Engage Technology Partners Ltd that I have discovered and it is going to be one of our most successful investments returning many multiples of our current £1.4 million and over a few Posts I will explain my logic.

First you need to know what Engage Technology Partners Ltd is all about and I posted previously a very brief overview of Engage (see below) but this does not really tell you everything about the company and you will find substantially more on their website.

Currently researching Engage Technology Partners Ltd and it is worth many multiples of Sport:80 and 100% certain that this will IPO before March 2020 or a few people miss out on a massive windfall of a minimum of £6,251,762 and that is only based on what we paid for the shares and it will be far greater than £22.

UKOG is going to be a valuable asset for PRIM but I do not hold any shares in UKGO due to constant dilution over the years of warrants, placings and loan conversions. Also I would not be able to have a meaningful shareholding.

The advantage PRIM have of swapping their shares in Horse Hill has ensured we are not liable for any of the costs of extraction.

Our BoD (whom I do talk to) will obviously top-slice any liquid shares in whatever company (ALBA, GGP, UKOG or SOLO) and bank a profit and may have the same goal as myself of a free ride.

UKOG has a large shareholder base and at times does attract the herd and will go through various spikes as Horse Hill and other plays expand and that is something our BOD are very capable of exploiting (spikes)

If I was invested in UKOG I would expect at some point this year for it to be between 3p and 4p.

Sport:80

I have analysed every document on Companies House for Sport:80 (52 in total)

Now Jonnyg said on Friday at 13:25 that one loose shareholder “had to be bought out”

I have a detailed list of every shareholder (name and number of shares) when they acquired their shares and changes (increasing or decreasing) from 2015. That is lodged every December in 2015 2016 2017 & 2018 at Companies House.

There are only two directors, the main man Gary Hargraves and Garth Palmer. But previous BoD was Robert Speakman.

If there is “loose shareholder” it could be connected to Robert Speakman.

We Know Data Ltd only appeared in December 2018 and this company acquired all the shares of Robert Speakman (12,500,000) but see below.

Gary Hargraves began in 2015 with 72 million and now has 82,785,000 or 40.07%

Garth Palmer has 8,325,000 or 4.03%.

There is a group of four people with surname “Unwin” From 2015, 2016 & 2017 combined they had 4,947,550 but in 2018 reduced to 3,747,550 it is only a reduction of 1.2 million but are they wanting out?

When you look closer at Robert Speakman you discover that he owns “We Know Data Ltd” When he set this company up there were £100 of nominal capital and 100 shares of £1 each. Then on 16/03/18 he issued an additional 45 shares but not at £1 each, 25 shares at £160 each and 20 shares at £250 each. The 25 shares went to his father and the 20 shares went to M Parker & J Parker. If you look at the accounts for “We Know Data Ltd” you may find something of interest.

You may think all of the above is irrelevant but then you look at the RNS of 23 August 2017 when we were informed by AC that we were investing £100K in Sport:80 in a fund raising of up to £1 million. Well you would have thought that we would have been on the shareholder register in December 2017 but we did not appear till December 2018. Also the total raised was £475K all shares issued at 4p. Some may say that Sport:80 could not get anyone else to invest the other £525K when what actually happened was they scaled back the fund raise.

The reason why Sport:80 did not need the full money was because there was a massive increase in active users. From 50,000 in 2016 to 100,000 in 2017 and then 200,000 in 2018. The NAV also went from £206K, £738K and then last year £1.1 million.

I have a lot more information on Sport:80 but I am sure if you want to research yourself you will and come to the same conclusion that I have which I believe Sport:80 will be valued at about £40 million.

Good afternoon Taverham.

I read your Post from last Thursday where you said you reduced your holding “following a punter who said this company is used to fund the BOD’s trips to Australia – a lifestyle company”.

I have to disagree with your statement. I do extensive research on all of my investments and over the years I keep refining my criteria for investing.

Most people who place their money in AIM shares are gamblers. They want to achieve 5 or 10 fold returns in days or weeks and not several years.

I look for companies where there is almost no debt, BOD have a reasonable stake themselves and there are assets that the Market at present has not factored into the current share price. PRIM ticks all the boxes.

If a Mr Warren Buffett (Berkshire Hathaway) appeared on our shareholder list would that alter your view of Primous Investments Plc? Or if Sir Richard Branson was to begin to disclose he had built a sizeable stake would that alter your view?

Our BOD have excellent connections. If our Chairman Jeremy Taylor-Smith and Alastair Clayton Executive Director did not have the contacts that they do have we would not have a company with such investments.

Looking at Greatland Gold Plc where we have 35 million shares worth about £836,500 at today’s price of 2.39p we are showing a profit on our original investment of £595,000 of about £241,500 or 40.59%.

Now it just so happens that I have family in Australia and I am able to call upon them to assist with my research and I think the person who said GGP could reach 4p is correct (time will tell) If AC did not visit Australia and did not have excellent connections we would not be invested in GGP.

Fresho is another investment that will return many multiples of our initial investment.

Engage Technology Partners Ltd when it does IPO will shock everyone including our BOD.

When you asked “is this some sort of code” it is most likely MM communication (allegedly)

But if you Google 332 there are references to many calendars.

Using the Gregorian calendar in the Year 332 and Wikipedia there are three events listed.

1 Emperor Constantine I and his son Constantine II, aged 16, defeat the Goths in Moesia. The Goths become Roman allies and protect the Danube frontier.

2 Constantine I constructs a bridge across the Danube in order to increase trade between the Visigoths and Rome.

3 Constantine I announces a free distribution of food to the citizens in Constantinople, similar to the food given out in the city of Rome. The amount is approximately 80,000 rations a day, doled out from 117 distribution points around the city.

Now because it is a slow news day (at the moment) while the court sits on our appeal of the appeal on the Land you could play a game with the above three scenarios.

1) FG finally defeats the Judges and CLP is awarded the Land.

2) FG constructs a Theme Park on the Mediapolis Land.

3) FG announces a distribution of Cash as he wants to reward LTH.

PS Something went funny with my Iphone this morning and the date is saying 1st April!

Brent Natural Resources (BNR) was set-up 23/03/18 with just RP as a director with 1,000 shares of £50 nominal value which is a nominal value of 5p.

What I look for is an increase in nominal capital as it indicates something.

HNR own 100% of BNR and it does not matter at present if there is 1 share or 1,000 shares. What matters at present is we own 100%.

Now let’s say RP decides to place DTU or Helios or whatever asset(s) into BNR and also increases the share capital. There would then be many possible interpretations but one could be that HNR would issue (for a price) shares in BNR to a n other company. The other company (lets say Glencore) would pay HNR a few bob to have say 49% of BNR.

Another possibility could be that the share capital is increased to mirror HNR and we are all given shares equal to our HNR shares.

Often when a company is purely for holding assets of a subsidiary company there is only one or two paid up shares not 1,000. This leads me to conclude that there is a strong possibility that BNR will become a large asset at some point.

Could there be incoming news that Brent Natural Resources is about to announce a deal?

To avoid any confusion Challenger Acquisitions Ltd will not be involved in any RTO when it eventually transpires at CLP.

I was highlighting that Challenger Acquisitions Ltd will possibly shortly be in an RTO situation.

When a Company does an RTO it is either to obtain the assets (cash if there is any) along with possible tax credits and CLP have about €50 million tax credits that are available “for a price” and their valuable listing on an Exchange.

If CHAL does have an RTO then the Company wanting to reverse into them would have to state why they thought it was in the CHAL Shareholders best interests to accept an RTO. It is what a possible RTO Company says that will maybe enlighten you as to what may (will) happen at Clear Leisure.

The Value is in Tax Losses

I have been working on a Post regarding our tax losses and how that will be the end game for FG.

I have asked Timmit with his accounting skills to verify my facts and figures and he came up with another angle that was also value enhancing. I am not ready to Post just yet as I have to do further research.

There is a Company that you may want to watch only to see how a possible RTO could transpire.

Challenger Acquisitions Ltd CHAL could have set in motion today the foundations for an RTO. I am not saying there is any advice here only observation as if there is an RTO then you would have some background information. This CHAL is on the Main Market not AIM but value of listing is almost similar for a potential Stock Market Listing.

The Value is in Tax Losses

What today’s RNS really says is that there will be a Reverse Takeover and the reason why another company would want to reverse into CHAL is because of the accumulated Tax Losses from day 1.

Our Main Market listing alone is worth over £500K and I will let others work out the value of the accumulated Tax Losses.

Capital Employed £0 Return £4 Million

Excellent news this morning. To have eight producing wells in East Denver that we have not had to provide any capital at all and to be on a free ride for 7.5% with WTC currently at about $50 will give us about $500,000 a month. But for this Post I will say only £4 million (GBP) for 2019.

From BP’s most recent Annual Report, in 2017 BP had a return on Capital Employed of 5.8%.

If HNR had to have put in Capital for all the 8 Wells in East Denver in proportion to their free carry of 7.5% then I estimate that we would have to have put £69 million. (£69 m * 5.8% = £4 m)

What actually happened is that we received back from True Oil (& partners $5m + $430K) our capital investment of $5.43 million and in return we have a free carry of 7.5%

Let us assume we had put in the £69 million and we had “borrowed” this money from a Bank at a low rate of interest of say 5.8% then we would only cover our costs and there would be no profit for HNR. Well we did not have to borrow from a Bank or dilute shareholders.

A few Posters know a fair bit about my background but I will repeat some of it as it may assist you when you do read “A Suspended Dream” (I always check the links I post and it does work)

When I was a financial advisor I had to sit in 1,000’s of clients homes and conduct face-to-face interviews. You eventually get to know the questions you have to ask to probe into the most intimate details of clients lives and almost all, are in the beginning, economical with the truth. When the client is told that you know they have not been 100% honest they then open up (as it is in their best interest to secure the best advice)

Rusty often Posts that he is a people’s person and says he can read them very well. I have met Rusty a number of times and “we compare notes”

FG will never disclose anything that is not already public knowledge and again I have said in the past it is often what is not said is the answer to your question. I have honed this skill very finely and it leaves me in no doubt that if CLP 2017 secures the Land then it will be bought by the original consortium that originally offered to buy it (including all the debt at the time) You need to revist RNS’s from years ago.
