Mr Evil Knievel will be well aware that if he went to a UK National Takeaway Bakers he would be able to buy a Scotch Pie for £0.85 and I am sure Evil Knievel will know that we now have funds to buy 1,352,941 Pies. (1,352,941 * £0.85 = £1,150,000)

Evil Knievel was at the AGM last year for one reason and one reason only, he likes the pies that FG personally delivers.

Claim Settlement

Excellent news again from FG to have now received £1,150,000 from the Fortune Cookie Settlement. We have actually received all the cash now, £500,000 on 14 December and the balance of £650,000 today.

Just need to have a result on the Ondaland situation.

Why the Land is so important

A few posters have in the past Posted their views on the merits of appealing the Auctioneers decision to sell the Land to the Farmer at below the Court Appointed Valuation and for FG not to accept the decision.

You may recall I posted in 2018 a link to Mediapolis Spa and “The Suspended Dream” (see below)

Mediapolis Spa is an Italian Company unconnected to Mediapolis Srl or is it?

Cesare Suglia was our CEO and was appointed on 27/04/12 till 12/08/13. He is still the CFO of Mediapolis Spa and also was the CFO of ORH SpA (the hotel company that owes us a lot of money, allegedly) see link below page 6 and interestingly Francesco Emiliani is also a director of Mediapolis Spa and he was also on our BoD from 29/05/12.

Mediapolis Spa would have been involved in building our Mediapolis Theme Park if it had obtained all the permissions on time.

After FG re-joined Clear Leisure in 2015 Cesare Suglia produces a 352 page glossy brochure all about the Theme Park but this was produced 24 October 2016 (exactly one year before Mediapolis Spa was declared bankrupt by the Ivrea Court)

It is my personal opinion that many people and companies have invested a substantial amount of time and money to realise the dream of a Mediapolis Theme Park and that FG is determined to succeed in having the Land rightfully returned to CLP 2017 as the legal owner of the First Charge on the Land.

Major change to Website

Nobody appears to have noticed and commentated on a major change to our Website.

Under core assets is Mediapolis which has an aerial photo. Is FG confident the Land will be assigned to CLP? There is also a smaller planning photo.

There have been numerous debates on B.B. about wither you have to disclose if you are a shareholder with 3% or more held within a nominee company like HL.

When there were fewer shares in issue for Clear Leisure, I held more than 3% and all I did was inform the company of my holding and that they were held within my SIPP via HL.

I think you will find that the rules are open to interpretation and that Clear Issue tends not to issue TR1’s and does the formal notification under AIM Rule 26.

Dshox being an LSE member for almost exactly 11 years I would hate to think what a “new” pair of shoes would look like to you or say a “new car”. If anyone subscribes to LSE South East they are sent communications about “Investor Evenings” and anyone who needs to know the difference between Bid and Ask, I am in no doubt will find out. Wish you well for 2019.

Updated Website

It was good to see that our website was updated today and as already stated by LimitAccess under new I.D. that Eufingest have not converted any of their Bonds (or Loans)

PBV Monitor is now a major shareholder, which you would expect as we own 10% of PBV Monitor.

Was a little disappointed that “Interactive Investor Services Nominees Ltd” is at 13.47% as I was hoping they would have gone down but you can’t win over some!

What we also have is a new major shareholder with “Vidacos Nominees” on with 7.64%. I personally believe they are (were) a Bond Holder who recently converted €1.9 million of the €2.1 million of Bonds that we were informed about recently, that is the Bond Holders, who in total took 50,992,886 shares at 500% premium of 3.76p.

“Vidacos Nominees” have 7.64% and I have calculated their share holding as 46,157,259 which is 90.52% of 50,992,886. We could have a small shareholder(s) with the balance of 4,835,567 which is about 0.8% but they would not be required to disclose as fewer than 3%.

A friend mentioned “Vidacos Nominees” as being involved in takeover situations but I am still researching this company. We will never ever know the identity of the true owners behind “Vidacos Nominees” just as we don’t know the identity of anyone who holds their shares in

When our AIM Rule 26 is eventually updated and everything is as I have indicated last Friday at 16:11 then all known significant shareholders will be documented correctly. If however there are increases or decreases then I would proffer my views on what that could indicate.

As for Mediapolis I have waited over 2.5 years and I am prepared to wait just a little longer for this to be finally resolved. As it has been conveyed on many occasions on this B.B. we are in a win-win situation with Mediapolis. We either have the Land assigned to us or we receive the proceeds from the Auction and as we are also a major creditor we are due over 90% of any funds realised from disposal of the other Mediapolis Assets, which are mainly the 10 Sardinian Vilas worth about €5.5 million.

As for Ondaland that we were optimistic would have been resolved in the final quarter of 2018. Some say we are due €6 million but I believe it to be substantially more. Will we recover anything like that? Who knows? Well FG knows and as I have said on numerous occasions FG is a shrewd player (tenacious was mentioned at the last AGM but I may be taking that out of context)

The next few months will hopefully news rich.

It does appear I forgot to mention PBV Monitor and their potential shareholding.

You are correct in that PBV Monitor will have 5.85% providing the overall shares in issue are 604,152,600.

What I will be looking out for is if their shareholding is greater than 5.85% as that would mean we will be able to draw some conclusions.

Sorry to disappoint you but the website has not been updated. The last update was 7th November 2018.

The reason why I put the values in my Post of 4/01/19 at 16:11 was to let you know what the shareholdings would be if there were no increase in shares of the various major shareholders.

I am reliably informed that information will be updated shortly when the Company have been advised by the individual shareholders.

It would be excellent news if Eufingest do increase but we just have to be patient a little longer.

For the attention of Market Makers

When you check AIM Rule 26 and see that “Interactive Investor Services Nominees Ltd is less than 13.26% and Ideally around 10% then you know you have managed to take out the biggest player for about not 5 million but 10 million.

I wish the Market Makers a healthy 2019.

Aim Rule 26

Our website was off-line for a short period yesterday and this could be in preparation of updating our AIM Rule 26.

I used to harass PR & FG a few years ago for delaying the information under AIM Rule 26 but not now. When the Company decides it should be updated (as it is constantly changing) I will review.

What you will not see is the numeric value of shareholdings, only percentage holdings.

When the shares issued recently for Bond Conversion, PBV Monitor investment and FG salary sacrifice are included the total shares in issue should be 604,152,600.

Significant shareholders (assuming no increase in their shareholdings from 7/11/18) would be:

Eufingest 14.28%

Luke Johnson 4.14%

An Idea Lives On Ltd 3.7%

FG 1.4%

What I would like to see is an increase in Eufingest as this would mean they have actually converted some of their Bonds. If Eufingest remain at 14.28% then I would then expect to see some new major shareholders on our Register.

We know the Bond Holders are receiving 50,992,826 shares for their €2.1 million of Bonds.

3% of 604,152,600 is 18,032,270 and the Bond Holders have 8.44% so I would expect some new shareholders to be identified.

Now if An Idea Lives on Ltd is greater than 3.7% then we would be able to draw some conclusions.

I am optimistic that by next Monday we will have more information available to us.

I am being forced by others to continue to highlight Red Flags as there is an idiot about.

I don’t think you have any cash to pay for your 5 BoD let alone anything else.

From your Annual Results RNS 3/07/18 it says $38,000 and as stated in Red Flag 1 your 5 Directors are due $890,000 a YEAR and they are already owed £352,000.

Think I see a placing to fund this over staffed company.

Red Flag Number 1

I was drawn to your B.B. by another Poster.

People who know me are aware I do extensive research before I invest in any company. I will not bore you with my investment criteria in this the first of many Red Flag Posts on your share but I can assure you I will not go away unless it is reciprocated.

So you have a Market Capitalisation of £2.65 million. You have five directors who have a remuneration package of about £712,000 using a favourable exchange rate of £1 = $1.25.

This means your FIVE Directors get paid (eventually) about 26.87% of your current market capt?

But there appears to be an issue in that for 2017 the Directors deferred either 100% or 25% of their salary package and this works out about $440,000 or £352,000.

If your FIVE Directors were to receive a similar package in 2018 to 2017 then their remuneration to be paid during the current year would be about £1,064,000 (£712,000 + £352,000) or just over 40% of your current market capt.

There is one small positive at the moment in that you only have a low number of shares in issue (at present) but that could change in the coming months and be substantially more if the BOD decide to elect to take their cake in shares.

I am visiting your B.B. because Boomidiot is on mine.

I note your market capt is currently £2.65 million and mine is £3.86 million.

As Boomidiot is not a holder in my company likewise I am not a holder in your company.

Now only looking at the Annual Report I see you have five directors and we only have two.

We pay our directors and one receives a modest salary of £60K and half is paid in shares and at a 38% premium to the current share price.

Now I am concerned that you have had to defer 100% of 2017 salaries / fees of $290,000 and also defer 25% of 2017 salaries / fees of $150,000. This means you owe $440,000 that has to be paid at some point.

I also note that your five directors received (should receive in 2017) total salary & share based payments of $890,000 and what is your market capt? It is £2.65 million.

Now I will spend the next month fully dissecting your company if Boomidiot continues to do what he does.

Nice to see you back as Max is on an enforced break due to some words spoken. As you know I am Positive about CLP so Positive that I am 100% certain that there will be at least one RNS on Monday. I know the content, could almost cut and paste it but will there be a second RNS that will bring tears of joy so much so that it could fill about 30 Olympic Swimming Pools?

LimitedAccess, I just do not agree with your Post, we remove a large portion of debt for a small number of shares.
OK look at it another way. Say we have £1,909,091 of debt that we want to pay back in cash by doing a placing at a 21%premium, just like the shares we are issuing to PBV Monitor. These shares are being issued at 0.7882p. We would need to issue 242,208,957 shares to remove the Bond Debt of £1,909,091 and not the 50,992,826 shares that we HAVE issued. FG has saved us 191,216,131 shares and it does not matter to me that you are a half empty pessimist because I am a half full optimist.

I appreciate what FG has achieved in 2018 but 2018 is not over until “The Bells” and they will be ringing loudly in Scotland.

I am at a loss to your logic and disappointed in your Post as I had thought you were more intelligent than how you come across this morning.

Assuming you have debt or have had debt i.e. you owed Bond Holders almost £1.9 million and you were able to exchange something that you own (Nominal Shares worth 0.25p each) and could swap £127K of whatever and wipe-out the £1.9 million debt, would you be happy? No, because you think you have a duty to the money lenders who originally got 11%. The Money Lenders (Bond Holders) knew the risk and some have decided to take some shares (almost 51 million shares in case you have forgotten with your limited view)

I personally have no sympathy that some Bond Holders have had to take a haircut and no matter whatever way you look at the conversion, we as the ultimate owners of Clear Leisure have removed £1.9 million of debt and on the other side of the balance sheet we have an expense of £127K which you will no doubt be aware with your limited brain processing capabilities that means that on this first tranche of Bond Converters will mean that FG has to report a PROFIT on conversion of about £1,781,609 (£1,909,091 less £127,482)
