Sol, you're exactly right, the raise was agreed at the AGM and it's just over 4 billion shares worth around £1 million to the company so nowhere near enough to pay Goddards let alone pay for the legendary secondary float plant for the 4th time. He's going to have to call yet another EGM and ask for more headroom. Anyone interested in having access to another 30 billion PREM shares or maybe he'll do another consolidation as well sonthat the numbers don't look too bad and he can raise again above 0.01.

Biglad, the extension to the longstop doesn't mean that Canmax are determined to get the scrap metal working. All it says is that they're prepared to wait 6 more months to see if PREM can get it working. If they were determined to get it working they would have stumped up the cash that's needed. They haven't!!

It's all about money now, PREM have none, need a massive amount more than they can raise.

Snowking, the share price is down 93% this year, let's look back to those 1p buys you made, which post consolidation would have been 10p buys, they're now worth 0.035p so down 99.65% that's pretty much a total loss. You'd need ain't increase of nearly 30000% to get your money back as would anyone else who bought at that time. That's just not going to happen now is it? You can sit there and talk of binary situations, which this is, but it's never going up 1000% on any good news, only on another consolidation.

I note you claim not to know what your current average price is, a simple look at your various portfolios will tell you and your claims within the telegram group of your buys, leveraging credit cards and taking out loans.

I doubt there's good news on the horizon. I'm expecting a placing on the back of the manipulated rise over the last few sessions. Those 4 billion shares will raise about £950k after costs with the discount that will keep paying some salaries and some bills but won't satisfy the Goddard debt but provides a lifeline that keeps them in business until the end of the month. Ghat means an EGM call for maybe 30 billion more shares to cover the Goddard debt and others and allow for the purchase of the second float unit. Will shareholders support further dilution to that extent?

All the above assumes that Canmax don't call in the debt, which given the current circumstances and the breach of the current offtake agreement and passing of the longstop date without any update, it's more than likely that PREM will go into administration this week.

Canmax weren't subject to the court case for non payment of the $2.2 million, PREM were, the judgement was against PREM. The writ of execution is against PREM not Canmax. If Canmax were aware of the judgement then why didn't they arrange payment from the funds raised previously by PREM? That's your food for thought.

They've allowed for a debt to proceed to the point where Bailiffs seize property. Is that the action of a company supportive of PREM?

I'd say it's not and they've now revealed their position which is most definiyel6 detrimental to shareholders

Many already got spiked on the rise today and will likely never see that money again and only attempt to get out at a loss, typical for PREM and the mug punters that keep buying. There's nothing to suggest any positive news ahead of tomorrow's deadline and unless there's a positive RNS at 7am then it's a massive drop back down.

I'm no Barclays banker super Crayon Chartist mathematician that gets women to want wild sex with me in my own fantasy world type person, but I'm fairly confident PREM shares havent risen 100% since 1st April of any year let alone this year. I'm confident that they're down around 96% since 1st April this year and depending ding on what year you choose pre 2025 they're still down by at least 90% when you factor in consolidation.

Perhaps they teach the wrong maths in the Indian Call centre who knows, but what is clear is that the long stop date is now 2 days away, PREM are potentially in breach of the revised offtake agreement and Goddards have still got the Bailiffs in seizing the computers, maybe that's why there's been no RNS PREM haven't got a PC to RNS in

Having thought back to the revised prepayment agreement conditions and checked, the following was part of the revised prepayment agreement.

Are PREM in breach of these conditions jow that Goddards have sent in the Bailiffs? One for the legal minds out there, I'm of the opinion they are now in breach.

"iii. That no persons or entity has commenced with any bankruptcy, reorganisation, debt arrangement or other case or proceeding under any bankruptcy or insolvency Law, or any dissolution, winding up or liquidation proceeding, in respect of either Premier or Zulu Lithium unless it is contested by Premier or Zulu Lithium and is dismissed or settled within thirty (30) days.

iv. Premier including any of its subsidiaries agrees to not mortgage, pledge, lien, claim, encumbrance, charge or other security interest, option, defect or other right of any third Person of any nature whatsoever over the assets including without limitation the mineral rights without Canmax prior written approval."

Anunnaki, since you are very proud of your Barclays banking background, your maths skills will be much better than my mere A level in pure maths and statistics, could please explain to me how PREM shares have increased in value by 100% since 1st April (of any year).

I'm a little confused by that statement as I cannot get anywhere near close to that figure, or indeed any number that shows PREM shares have increased at all

Hasiba, GH has about 4 billion shares he can do a discounted raise, to keep paying the board salaries into the New Year, usual 30% discount puts the placing price in the region of 0.0165 (assuming he can negotiate the usual discount) Would that be classed as good news? He has already confirmed his intentions to raise additional funds. What sane person would be a buyer at these levels knowing this?

They've had the report for nearly 8 weeks now. Must be pretty grim reading if they're still discussing it internally and not releasing the details to shareholders and the wider market

Goingtomoonufo I'm still waiting for that list of PREM assets and their valuations. I've been around this share for nearly 10 years and thought I knew the company inside out, yet you claim there are valuable assets I know nothing about.

I've asked again because I'm intrigued to find out something about the company that I didn't know.

Acker, it looks like Canmax haven't been exercising that financial oversight, if they had would the monies due in salaries and to trade creditors be allowed to accrue to an excess of $15 million. How much have PREM raised since Canmax had financial oversight? How much should have been used to pay those "priority debts" if a court ordered debt payment isn't a "priority debt" then I don't know what is.

What you can be sure of is that the money raised hasn't been used for the purpose stated. They raised 3 times to pay for the second float unit! Why didn't Canmax with their financial oversight make sure it was bought and paid for after each or all of those 3 raises to pay for it?

Goingtomoonufo, PREM has no other assets of any value on the books. If you know different please share what they are and what they're worth?

Acker, the Goddard issue won't be resolved in house, they've already tried that to no avail and the first part of the legal process for getting paid, both of which have failed and they've now had to call in the Bailiffs to get whats owed to them.

The Goddard monies are only a fraction of the debts owed. Who else hasn't be paid? Who else is now having to resort to the legal system to get what's owed to them by the company? Anyone that hasn't yet gone down the legal route will most certainly be filing those court documents as soon as possible to make sure they're near the top of the list when the receivers are called in and sharing out what monies are left after everything is sold off for pennies in the dollar.

Acker the next RNS is more likely to either be a suspension pending delisting due to insolvency, or notification that Canmax have elected for repayment of the outstanding monies in cash, swiftly followed by a suspension and delisting.
