From attending the AGM last year, it appeared that the eye programme looks set to do much more than what the competitors are offering, but no doubt all will be revealed in time as to not give away the market edge 😉

The Arbitration Court of Moscow continues to hear Case No. A40-193746/2025 regarding the lawsuit by Petropavlovsk PLC shareholders against OJSC UGMC, Gazprombank, and MICEX.

On December 12, 2025, the second preliminary court hearing took place. During the hearing, the defendant, OJSC UGMC, requested that all subsequent hearings be held in a closed court session. Gazprombank, also involved as a defendant in the case, previously made a similar request, creating a united front of Russian companies insisting on the confidentiality of the process.

The legal position of UGMC and Gazprombank is based on two key arguments:

1. Sanctions: The companies are subject to restrictive measures by the US (SDN list) and the UK.

2. Russian "anti-sanctions" law: Referring to Decree No. 1102 of the Russian Government, they argue that sanctioned organizations have the right not to disclose information about their structure, transactions, control, and subsidiaries. Since the shareholders' lawsuit aims to establish UGMC's control over Petropavlovsk's former assets, an open trial, in their view, would create risks of secondary sanctions and disrupt the operational activities of related companies.

The plaintiffs (Petropavlovsk shareholders) are categorically opposed to the closure of the process. Their principled position is based on the fundamental principle of publicity in legal proceedings (Article 11 of the Arbitration Procedure Code of the Russian Federation). The shareholders insist that an open trial ensures public control over justice and guarantees their right to a fair hearing.

JSC Atlas (formerly "UGMC-Invest" - the alleged corporate control link) has been involved in the case as a third party, highlighting the practical significance of the dispute for operational enterprises, as well as the company Opus (the bankruptcy trustee for Petropavlovsk PLC).

The court has scheduled the next hearing for February 6, 2026, at which a fundamental procedural issue regarding the format of the proceedings - open or closed - is to be resolved.

Thus, the dispute over publicity has become a separate procedural confrontation: on one side - the defendants' demand for confidentiality under sanctions, on the other - the plaintiffs' demand for maximum openness as a guarantee of a fair trial.

The court's decision on this issue will determine the public and media access to further hearings on the merits of the lawsuit.
