Several points. I do not think I have placed a figure on the LE. The 25p is arbitrary. I think posters are getting a little twitchy. I think the point of £1/Sound share valuing the Eastern Morocco portfolio at approximately £2 billion correct. Sound would get ~£1 billion, Schlum ~500 million and the remainder assigned to Onhym, although no money changes hands. The Onhym 25% is very real however when it comes to future costs and revenues.

I've just obtained my first with honours in maths . Sound have 47.5% share of the Eastern Morocco portfolio. So I did some cunning maths : one billion shares at £1 each gives a £1 billion for 47.5% share or £2 billion for the whole Eastern Morocco portfolio.

£1 a share represents approximately £2 billion for the Eastern Morocco portfolio. That's $2.5 billion. And that's failure?

The 2019 Q3 update has no cash and cash equivalents information. Why? Mr JJ told Malcy that the last update on the cash position was 14 th May 2019 at $14 million. Malcy isn't a even a shareholder so keeping information from potential suitors is not the concern. The $3 million cash raise was mid June. I think the reason there is no cash & cash equivalents update is that the company doesn't want shareholders to know. If the exploration of marketing the Eastern Morocco portfolio goes into 2020 the management doesn't want shareholders to know the cash burn for zero result. The base salary cuts do not start until August. The company is planning on the most likely outcome to be no sale.
Looking at the figures above - two wells drilled for $25 million depletion and Sounds share was 63.3%. Exciting times.

Sound have to pay off the €28 million loan set against Sidi. Sidi comes with liabilities. That is factored into the bid. If 35p was the bid not all the £350 million would be returned to shareholders. The rump share price would reflect that.

No. If an offer of 35p is made the share price might rise to 35p if the market thinks the offer will be accepted.
If the market thinks the offer will not be accepted the share price might jump to 35p but fall back as people sell up.
If the market thinks there will be a counter offer or an improved offer the share price could jump to 50p in expectation.
In your example if a return to shareholders in the form of a special dividend is carried out the residual share price is the price the market feels the company is worth after the assets have been sold.

Bowleven is an example of a return of cash to shareholders ( 15p). Announced on 7th Jan 2019 and completed on 8th Feb 2019.

I get the impression Mr Parsons felt let down by Schlumberger at Te10. Not only did the Sound experts think Te10 would flow but " our partners think it will flow". When it came to the crunch the experts were wrong. Sound, I think, ploughed a lot of money and time into Te10 and were left shocked by the result. The company is in a weakened state financially and operationally. The optimism of Schlumberger was the cause of a major drain on the Sound purse. Exciting times.
