Yorek, The market knows MyProtein is one of the tops in the industry and yes there should be plenty read across.

But for some reason where THG is concerned the market doesn't want to know, skips over it's relevance, and that don't touch with a bargepole mentality still seems to be prevailing and there is evidently no II support underpinning and supporting the share price with any massive volumes.

In fact despite MM trying to hand pick those who got placing shares it's fallen since, so there is probably a Matthew 26:21 scenario somewhere in there with those he seems to be letting in the door. Would be great to know just exactly who it is that has been lending out shares!! One thing for sure is that it is not your supposed 35% fast cash that is lending out it's shares and I've mentioned this before.

For my 39p shares and that's me Derisked 95% of what I held.

The rest can stay in the pot for a peace deal but its a lot of profit and a free carry on the remainder.

Some I'll recycle into others identified with good 2025 prospects and the rest I'll sit on for other opportunities.

Looks like somebody selling Kelso has caused a dip there today also, THG being one of their largest holdings.

Selkirk unaffected though it would seem.

It's great that he's reduced the debt situation but unfortunately I don't think he's been the most dynamic of communicators to the market and there certainly hasn't been much delivery of shareholder returns, unless you are trading the share, so maybe it is not a bad idea to move on. He has had 4.5 years and the share price is 22p.

The market doesn't seem to like the departure so lets see if there is something behind it over the coming weeks.

Results out today also and Down 15%.

Plazahot I wouldn't class those that took the placing shares at 49p experts as such for at that time scarce information was supplied for people to do their own due diligence and make their mind up, in fact virtually a couple of hours / overnight. Hence most were waiting weeks for the Circular to be published. Most just bought semi-blind thinking it had dropped prior into the placing and offered value at the placing price - and not thinking it would hit 38p.

I did mention a couple of days back that at 49p there was potential for games to be played again and the reason for that is because technically £94 Million placing monies would move into profit if the sp lifted above it. Having seen recent movements and digested the fact that in between The THG share price didn't instantly re-rate upwards so some new buyers might be inclined to breakeven or take marginal profit and exit. Same with any that had averaged down to 38p or in between for 20% gain. Shorts also seem to be starting to take an interest again at that level.

Seems quite clear that the Ingenuity shareholder agreement has been written for someone with deep pockets to establish their authority as a Supermajority shareholder and with others with sizeable holdings becoming superqualifying investor behind them. And the ability to elect 1 or 2 Board members dependeant on which category you fall into.

Thinking logically if you generally compare to a good sample of companies taken private then there isn't really any convincing argument to elect in, go private and sit and wait as others are sat pretty static.

But there may? be a chance of profitabilty in THG Ingenuity for if you yourself believe that someone will be looking to accumulate sufficient shares to become that Supermajority shareholder rather than picking them all up for free and cheaply off any electing out of Ingenuity and for Remainco in preference then you might see profit. The matched bargain facility would then let you set the price that you wished to sell and exit your shares at and I think there are monthly / weekly auctions and its then for the SuperMajority shareholder to decide if he wishes to pay the price you have yours you are happy to sell at and to make it a "matched bargain" deal. All I'd suggest is don't list them cheap if you think THG Ingenuity has been underpriced. If they really want the category of shareholding then expect them to pay. Say +40% or whatever suits you. Great if everybody had similar view and don't undercut each other but a market place and everybody has their own goals, agendas, timeframes and competing needs.

The danger might be that any aspiring to be Super Qualifying or the Super Majority shareholder gains as much as they want off those electing not to take up their THG Ingenuity shares.

It's everybody's money and holdings and everbody decides for themselves.

They've had the demerger to deal with and Black Friday to Cyber Monday has just ended and there probably still finishing off the longest rebrand in history, Matt's had the warehouse sale to tie up for him and family and the Cult Beauty rebrand has only just started.

Next numbers here are critically important and if retail sales numbers for December just recently out are anything to go by then I'd be slightly concerned. Still waiting to see if any early data appears on the Black Friday weekend that could challenge things.

I know bank debt has been mentioned but in any of the accompanying literature can anyone point me to where that debt is coming from, how much and at what interest rate?

It seems remiss to have mentioned it yet you are intent on taking THG Ingenuity private and effectively it would be half missing on a going concern status and you're expecting people to vote and elect when in effect only half the picture is known.

Am I surely not the only one out there thinking this?

Also unless I misread things on the transfer of shares it seems highly restrictive and and even a simple transfer of say your shares to your spouse would need written permission, so if considering doing this then best to get your affairs in order prior if electing to go with Ingenuity allocations.

Always read the small print as they say.

When making your mind up which way to elect do some of your own research on those that have have recently delisted and been taken private and find the price at time of delisting and what it is now. I did as much the other night with several and found many that were sat at virtually the price they were at when delisting or a penny or fraction of a penny either way. You then have to balance that with your patience threshold.

My own presumption is that with THG Ingenuity there is a high chance of similar stagnation and always the distinct possibility that they will have to come cap in hand for more money and with a fair to middling prospect of dilution.

Apollo will be looking back on things and definitely thinking they dodged a bullet.

200p to 250p as a bid (If OVMK were correct) versus 38p to 47p now, so many poor decisions and circumstance in between leading to falling revenue and guidance being revised down and now having had to go cap in hand to its own long suffering investors for £75M to take Ingenuity private hardly strikes as being a success.

I personally can't see them returning with anywhere near previous offer prices and for me they would be even more insistent on full majority control. That's probably where the stumbling block would be. They might instead just choose to wait and bide their time instead.

Never though rule anything out in business.
