If Suzy thinks that authority to issue 20 million shares is a "small pot of headroom" what would be a big pot be?

Resolution 6 ask for the disapplication of statutory pre-emption rights, so shareholders might be locked out of any discounted placing if that resolution is passed.

Has anybody commented on the 6.5 million options for employees and advisory board members of the group [Resolution 5]?

That might be why they are asking shareholders for permission to issue 20 million new shares at the AGM [around 30% of existing shares in issue].

As expected:

'The Directors have concluded that the ability of the Company to raise funds in the future represents a material uncertainty which may cast significant doubt on the group's ability to continue as a going concern.'

So shareholders will be asked to approve an 'aggregate nominal amount of £20,000' in new shares at the AGM. The nominal amount of VAL's shares is 0.1p so they are seeking authority to issue 20 million new shares.

I listened to today's BlueDot Monkeypox presentation.

Their modelling is that there is an under diagnosed and reported outbreak in Nigeria of between 1 and 3 thousand people at the moment. There is a concern about larger scale transmission during the upcoming Haj as well as the possibility of the virus getting into animal populations in non-endemic areas [people infected in the UK have been asked to isolate from pets].

They expect many more cases to be found, partially because more cases are being exported from Nigeria, partially through transmission at large events [like the Haj] that has visitors from areas that the disease is endemic in, but also because they are looking for it. The big risk is the virus getting into animals in areas where the disease is not established [rats or squirrels?]. Squirrels are the big worry as they are susceptible to pox viruses.

They can just change the Going concern statement to something like:

'The Board considers that in conjunction with equity or debt financing, the present funds are sufficient to maintain the working capital of the Company for a period of at least 12 months from the date of signing the Annual Report and Financial Statements. Job done if no deal / deal with insufficient upfront cash to last the next financial year.
