'non-pre-emptive basis' means that, if the resolution is approved, the company can place shares without having to invite current shareholders to participate. This can be good for management as they have certainty over the price shares are issued at, and the amount raised before informing the market; but, shares in such private placings are regularly done at a discount to the current trading price and to 'flippers' looking to make a quick few quid.
Under previous management, this company did a placing at 1p when the share price was 2p; and that was before the last consolidation. Occasionally, placings are done at a premium or around the current share price. Shareholders should live in hope that a 'cornerstone' investor would like to acquire a significant proportion of the share capital and is prepared to take most of any placing.
Imagine if GSK or a similar life science company bought 20 million shares at 25p in a placing... The share price would probably be a £ the next day.
