THEY, LIKE KOBOLD looked at HISTORICAL via newspapers of the "Sunday Creek Goldfields, Victorian times" and started looking at the spots and SXG stated in black and white via a 2020 May Pres that it is "A RE-DISCOVERY OF SUNDAY CREEK" ie just drilled deeper where the Victorians couldnt reach. At Kilmore, the same was said, the deeper the better the quality ie DEEPER DEPTH, higher grades. IT IS THE HIGH GRADE NATURE of Sunday Creek that is of interest to the market and they had 45 RUNGS OF 7,000 g/t gold hits. That may be so about Ajax & Berringa but that is NOT DEVONIAN age. Any new co IPO'ed will NOT have the funds to DRILL BOTH KILMORE/KILMORE WEST and Ajax/Berringa. How? Only SUNDAY CREEK, COSTERFIELD & FOSTERVILLE are of the Devonian age, later than the Ballarat era age so easier to process. If Mr Black, the current 10.9% holder is increasing , then I think whatever plan that may or may not have been is NOW scruppered by the New Ballarat Gold Corp deal of Mar 2024 with POW. TOO MUCH IS NOW IN THE PUBLIC DOMAIN AND VALUATION IS IN THE RRR & POW RNS. Any new director will be SUBJECT TO THE SAME rules of AIM Rule 15 and VOTING to pass and only then can the deal go thru due to the SIZE OF THE FINANCIAL TRANSACTION which is LARGER THAN RRR 'S CURRENT MKT CAP EVEN.

So. A.Bell was clever to take a 51% stake in New Ballarat Gold Corp. If RRR had 49% stake only, then it will be a minority holder and it will be then the custom of the OPERATOR POW at 51%, to BUY RRR's 49%. Also, in that case, in theory, the Nomad of RRR will also want to know if it is a CHANGE OF BIZ, PER AIM RULE 15 and if it is, THEN RRR ALSO WILL BE DELISTED. Why? It may be deemed to be the change of biz given the deal is LARGER THAN THE CURRENT MKT CAP of RRR even. ? ALSO, IT NEEDS VOTING by both s/h's so one can see it is not just all conjecture but real $$$.

IN THE LAST PARA OF THE RNS ON NEW BALLARAT GOLD CORP:

The seller ie POW 's NOMAD MUST ENSURE it DOES NOT "CONSITITUTE A CHANGE of FUNDAMENTAL BUSINESS PER AIM RULE 15."

Comment: Just shows how important this deal is subject to .....IF THE NOMAD DEEMS IT TO BE A CHANGE OF FUNDAMENTAL BUSINESS OF POW per AIM Rule 15, POW WILL BE DE-LISTED as it will be deemed to have dispose of the main biz 101. JUST SHOWS YOU THIS NEW BALLARAT GOLD CORP is a big transaction and CANNOT BE JUST DONE WITHOUT BOTH CO'S SHAREHOLDERS APPROVAL. So, can you imagine the OFFICIAL VALUATION REPORT OF "FAIR VALUE" is not submitted by a licenced Tier 1 investment bank to both co's and everyone either approves via voting or it does not get enough votes to pass 101.

In fact, the deal with POW to buy their 49% stake in NEW BALLARAT GOLD CORP MUST BE PUT TO VOTING WITH RRR SHAREHOLDERS. That tells anyone it is not conjecture. It needs to PASS VOTING at the minimum threshold per co law.

THE VALUATION WILL BE STATED and it has to be FROM AN INDEPENDENT INVESTMENT BANK licenced so that NO SIDE CAN SAY IT WAS NOT "FAIR VALUE." Ref: RRR RNS, Mar 2024. Yes, it is a big deal. To do the valuation, the bank must see all the reports etc. So, nothing conjectured on this forum or the other.

FOR THE AVOIDANCE OF DOUBT:

Per Banburyboy earlier, he gave praise, now CONJECTURE. I know very little of our Chairman Bell. I know a lot about DL because he tells a lot on open public domain. He told us about his FB page. That valuation done by POW would have to be done by an investment bank for "fair value." I did not even take it the 0.025p given it would have to be weighted in. So, I just took the 0.015p headline figure to be conservative. NOT 1 DRILL YET INTO KILMORE & KILMORE WEST, NEXT DOOR TO SUNDAY CREEK AND VALUATION IMPLIED :£12M MKT CAP FOR 100% IN NEW BALLARAT GOLD CORP, Australia. To list in Oz, it must be a minimum of A$20m. Sunday Creek is so much in demand, they will dual list in Canada because 70% of Sunday Creek SXG, ASX holders are NOT IN AUSTRALIA. So, dual listing is for GLOBAL INVESTORS AND DEMAND IS THERE.

In my view, all I perceive the deal to say was that the deal or rather the project. Also, the fact is the RRR-POW deal on Victoria gold fields means that the DEAL VALUES RRR AT NEARLY 3X the current price as the valuation is at 0.015p and also a more detailed 0.025p, 5x more. So, the NEW BALLARAT GOLD CORP IS IN FACT VALUED EVEN MORE HIGHLY AT 3X OR 5X MORE THAN CURRENT RRR MKT CAP which tells one the meaning of the value. This is for RRR TO BUY OUT POW'S 49% SHARE. SO, IF IT IS IN THEORY 100%, THE WHOLE DEAL WITHOUT 1 DRILL INTO KILMORE is already £12m grossed up? [0.015p is 3x RRR £2m cap for 51% stake in NBGC = £6m cap .So 100% for both RRR/POW stake in NBGC is x 2= £12m]!!!! Why? Already explained below. There is nothing to say that a EXTERNAL HOUSE CANNOT PUT UP THE FUNDS.?
