Think it is time for a quiet word with the FCA next week -this is all lining up for the longterm shareholders ending up with nothing.

Once RAM get their 87.5% in Zioc (yes they can do this as the project build commences and at the end of the day the deal is highly dilutative despite the misleading RNS) they will take ZIOC private and sell it on

Those who belief they will get a large income from ZIOC in the very distant future are being very very naive .

If there are other parties still interested why was the first deal jumped at -they taken years to get here -why can’t the project be put at tender -a couple more months are nothing

Feeks-when a company gives away 87.5% of a project with a NPv in excess of $10 billion for $150 million with a small offtake to an insider it is right for people to be concerned .

It is clear that most shareholders here feel let down by a deal with so many red flags such as RAM set up shortly before the deal was announced and the interconnections between RAM and a major shareholder in ZIOC and also inter personal connections-over $300 million was spent actually proving up the resource -the shareprice says it all.

Most people I hazard to guess would be happy with a 40% Zioc/60% RAM Split -

There are so many “ifs” here there is probably only a very small chance of the fabled large dividend many years in the future.

1-the credibility of RAM set up solely for the purpose of building the mine-will they be able to complete the project on time and within budget -look for example what happened to Horizonte Minerals -it took a few months from everything being on budget and within time to going under

2-the large possibility of once RAM have got 87.5% of the project they will use some underhand tactic to acquire the rest or excercise their option to half the ESR

3-Once they have 87.5% they sell the project on for multiples prior to commencement -the so called “titans” will have all the contacts to do this -a couple of billion perhaps for $150 million -they might not even have to find the $125 million if they flip the project straight on.

The contract is so biased towards RAM-there should be a clause in the contract that zioc shareholders get at least 50% of the receipts if RAM sell the project straight on.

Bearing in mind the age of the “titans” a sale on of the project is the most likely outcome

If Sir Mick and his bunch of chancers can raise $870 million they can sure raise another for a 10p a share takeover of ZIOC.

imagine the RNS -“the board recommend the takeover of ZIOC at a price of 10p representing a 66.6% premium on the previous closing price of 6p”

The NPV was calculated in the December 2025 presentation -hardly a longtime ok-the calculation for a multi decade project should not very greatly in a two month period -fundamentals for a long term project would not be suddenly changed in such a short time.The figures could however be “adjusted” to try to testify the low ball offer!

Pitstok -the company has projects that are fully licensed and ready to produce which can be separate from the “exploring activities .

If time was dedicated to either selling or getting one of these projects into production the company would have ample cash flow to fund further expansion and might even provide a return to investors (either share buy back or dividend)

Furthermore there would be no need for discounted placing with attached options which are a large anchor on any share price appreciation.It is not childlike to point this out-it is in the interest of all shareholders not to have further dilution -there is little benefit in continuing to explore without monetarizing the assets you have already discovered.

Production licenses have a finite life and they are granted by Governments to create jobs and tax revenue -they might not take too kindly for them just to be sat on

Chrisp -it is totally resonable to expect a return from an investment that has been held for 10 years.

Bird keeps telling us about been in the right place at the right time but has to date totally failed to deliver any return to shareholders,

Why should I sell my shares when we know the company has the assets so you can tell everyone how well GLR is run without people asking questions whether Bird is running GLR in the best interests of longterm shareholders.

The company is in the right place at the right time but maybe not being run by the right person.

Are you really happy for year after year to pass with the shareprice being stuck below 1p with occasional wishy washy statements from Bird telling us how great GLR (he) is and at the same time continually missing deadlines.

Perhaps this is why the shareprice is anchored below 1p

If we are very lucky we might get a RNS “about digging some random ole”

No urgently whatsoever to get asset into production or asset sale because that might involve actually providing a return to long suffering shareholders.

Do us all a favour Mr Bird -if you are incapable of progressing things forward that will materially benefit shareholders in the not too distant future stand aside and engage someone who can-GLR needs full attention not a couple of hours here and there

Just wondered which lawyer draw up the agreement -there are so many anomalies and conflict of interests it hopefully is not worth the paper it is written on.

How can the agreement be “binding” without shareholders agreement ?

The “squeezed middle” are the crucial ones in the vote but I suspect they are acting “in concert” with the “Ram interest” and will properly vote with them.

It would be interesting to know if Elphick is supporting the deal-another crucial element

Thank MXD2025 for your insightful commentary pointing out MBO is slightly off it’s day high -I am sure no one else has noticed-you could pick on virtually any quoted share in the World and make exactly the same comment .

If you look on the MBO board there is a character called MXD who spends all their life deramping the share -160 posts in the last 30 days yet claims to make loads of money from the FTSE 100
