Europa Metals is pleased to announce that it has entered into a letter of intent for an option and joint-venture ("JV") arrangement with Denarius Metals Corp, commencing with a US$4m investment on the Toral Project.
 
The initial non dilutary investment, once agreements are signed, has a look through current value of US$8m valuing Europa at between 9-10 pence.
 
This first option funding will enable Europa Metals Ltd to complete a pre feasibility study and the necessary mining licence application over the immediate project.
 
Partnering with Denarius Metals it is also envisaged that the joint venture will look to expand the footprint around Toral Project to encompass the historical Antonina mine and further concessions.
 
We look forward to keeping everyone up to date with our progress.

@jedster That’s without dilution 400,000,000 divided by 12 years LOM 0.42p per share but the asset I believe is set to be upgraded on the new results so could be a whole lot more I don’t understand why they would release this RNS before the upgrade but they must already know the results

@jed nothing they aren’t taking 80% of the company they are taking 80% of the asset

Could be Shed but having had a look at denariusmetals they don’t seem to big in all honesty their board is about as big as ours also why would let it go so cheap for 80%? I now see why WHI reevaluated company at 11p to get this deal makes sense with our mkt cap.
More unanswered questions maybe it’s just my brain doing overtime. We need cash though and it would make sense if this pushed through in December this is where it’s coming from

As a long term holder and believer It is a great RNS but we still need cash. So we wait for the terms.However having looked at this I wonder if this is an interim RNS for something bigger.

Few questions

Is this RNS just in order to get the SP up to raise capital? The fact it’s not binding and they’ve had time suggest this suggests something.

Second question when do we think the next results are due.

If we read the RNS and decifer it

In order to be able to exercise the First Option and acquire a 51% interest in the Toral Project (i) Denarius and Europa Metals shall agree on a work programme and budget and (ii) Denarius will thereafter fund a minimum of US$4m of expenditure (including US$650,000 to be advanced to Europa Metals as to US$100,000 on signing of the Definitive Agreement and as to US$550,000 on completion of a potential financing round by Denarius, which is expected to be concluded by 31 March 2023) towards:

This is our cash in the bank they are effectively saying you go and do the work for Toral and we will take 20% of any profits

We are obviously looking for other projects too what are we going to have to raise it does also suggest here

The Proposed Transaction could also provide future strategic synergy with our wholly owned Lomero-Poyatos polymetallic project in respect of the commercialisation of concentrates from both potential future operations."

The earl jealous he didn’t get in yesterday to recover his losses on GBP …what a shame wait until we 10-15 bag on the JV in December and the results coming very soon. Buy a bag Earl you might get lucky :)

But it ain’t 4 years is it lol …Happy Christmas from EUZ and also the grants will be there, you can’t tell me our new JV partner don’t know the drill results prior to this..the SP should jump up higher on this monster of resource

just read the whole RNS and only snag and interesting bit and only negative I can see. It’s great news but no guarantee

The Proposed Transaction is subject, inter alia, to confirmatory due diligence by Denarius, the finalisation and entering into of a Definitive Agreement (within the next 60 days unless extended by the parties) and all requisite shareholder and regulatory approvals, as appropriate, and there can be no guarantee that the transaction will be completed.

I’m still believing results are key to how much finance someone wanted this drill. If this resource gets upgraded the upside is huge.
We already know it’s largest zinc mine in Spain one of the larger organisations must be eying us up surely DBA aren’t daft enough to keep propping up a share price and we are being advised by Bennelong
