India is already the most populous nation on Earth, anticipated to have the world’s largest cohort of medium to high level income consumers by 2035 and to become the planet’s second largest economy by the 2050s. With obesity prevalence already measured at 40.3%, it presents a huge area of opportunity for weight management products in particular, and our strategic investment in establishing OptiBiotix Health India in 2021 has given us a strong platform for growth through the local manufacture and sale of both ingredients and final products.

The business took a material step forward with the announcement on 13 March 2024 of a major new five-year partnership agreement with Morepen to sell products containing SlimBiome® under the Dr Morepen brand: an established, well known, and trusted brand in the Indian market. OptiBiotix will receive revenue for both the ingredient and final product sales. The first order received in May 2024 for 5 flavoured shots has been increased and a further order received for a chocolate shake. Further products are under development for launch in 2025.

This is the first time OptiBiotix has coinvested in marketing with a partner to try to rapidly achieve a large market share in a major market. Morepen have confirmed launch dates within H2 and these will be announced in conjunction with Morepen and associated the marketing activities. As announced on 13 March 2024, based on Morepen’s current forecasts, this agreement could contribute in the region of £6-£7 million revenue per annum to OptiBiotix by the fifth year of the partnership.

We have signed a supply contract with KAG Industries as our alternative manufacturing partner in India

to mitigate the risk of relying on a single partner in the territory, and they have commissioned machinery

specifically to supply product for Dr Morepen and are advertising SlimBiome® in their forums and

exhibitions.

We continue to sell GoFigure® products through approximately 1,000 Apollo Pharmacies stores across India, with a new product launch scheduled for next month, with improved branding and flavours. A launch on Amazon India is also scheduled for October 2024 in addition to pursuing a strong pipeline of other opportunities with leading and emerging players in weight management and sports nutrition in the country.

We believe that our agreement with Morepen and the upcoming launch of more products under the Dr

Morepen brand, plus other partner launches planned for Autumn 2024 and the reorder of products by

Apollo pharmacies could generate significant revenues and bring profitability to this part of the business

during 2024.

absolutely disgraceful and taken in conjunction with his disastrous other business decisions (albeit not his continuing salary and employment of his son - credit where credit is due) including the numerous ceo and senior staff appointments, not only but especially here, but the continuing story at pbx and the yet to be proven profitability at sbtx (apart from the purportedly purchase of profits) by the (extremely overpaid ) ceo there

time and confidence is running rapidly out, for and in, soh especially his recent handling of the pbx fiasco and the face saving utterances made by optibiotix

What c 43,000,000 shares on open market just to ensure over 50% to save his position - presumably he would have his mates vote - don't think even his mates would buy more never mind him buying ANY - if they did they would be obliged to make an offer for whole company - mind they and him obviously didn't expect the backlash - which is either arrogant, stupid or maybe they do have plan b leading on from plan a ie the most they could buy under the resolution and an offer to come for whole company - if they reached 30% (not beyond the bounds of possibility) they would be obliged to make an offer for the whole company

his position is untenable unless one or more of opti, seneca and tw (and a number of presumably other hnw retail investors) fold/folds

hard to see opti folding as issue price was 21p - a great bit of business soh - going to be able raise funds to buy back pbx at say 8p?

but that would involve a complete about face for soh and one which i don't believe his ego could suffer and in conjunction with his failings here (one exec - 3 non-exec) demonstrates his lack of business acumen and his strategy of listing the various

original opti streams including sbtx still some years away from profitable commercialisation of its technology, as opposed to buying purportedly profits, under the (extremely over paid ) leadership as appointed again with soh's involvement

Stephen and Neil attended AGM in person and could have rescinded proxy vote previously given by our company especially re resolution 6 - which Steen used (as i have noted Stephen has used in the past) to raise the funds

in fact all they had to do was vote against resolution 6 and vote for 1 to 5

thereby ensuring that any shares issued would be pro rata to existing shareholders - assuming of course they wished to participate

but they didn't

and not only were they the largest holders in attendence, as i noted re voting results as published, but carried all resolutions by a substantial majority

most times aim company directors rely on the non attendence of retail investors, their non proxy vote and generally their apathy towards agms

and as Steen was appointed the only Exec Director ( he could have been only employed as ceo, reporting to BOD, and not as a Director) but wasn't by of course soh

interesting times ahead and of course most here apparently have shares that are free

and should be therefore appreciative of what soh has done for us

Having considered the proposals the Board (bar the Non-Executive Director Stephen O'Hara who it is believed is conflicted due to his position as Chief Executive of OptiBiotix) would like to confirm they are fully supportive of retaining Steen Andersen in his current position and appointing Frederick Bruhn-Petersen as a Non-Executive Director.

Does this mean SOH not present at meeting ( was there one? I am not sure there was time even to call and have same ) or just that he didn't support retaining Steen - i assume the latter - so that leaves Chairman and Marco in agreement or of course Steen just acting alone as Exec Director and the Board, as noted above , is just him acting as exec director

about time the other two non executives released a non ambiguous statement to the shareholders

I note that mention was made in PBX's / Steen's response to seneca to the emphasis of matter raised by the Auditor within the annual financial statements and discussed here at time - this as we know was categorically dismissed by Steen and more notably Mark in their presentation - bit disingenuous to bring it up in response now!

Ironic that the funds required to compensate Steen (Erik as yet hasn't been formally appointed and as a non exec will/should have limited recourse to compensation ) should the resolutions achieve the necessary % will be coming from ........
