Morepen Laboratories has more than 2,300 employees and sells over 800 products to over 82 countries. Morepen is a well-known and trusted brand in India, launched in 2001 to encourage customers to be in charge of their own health and wellbeing. Morepen has direct access to over 200,000 pharmacies across India and indirect access to another 300,000 pharmacies. Products will be sold online, in store, and direct to physicians across India.

Stephen O'Hara, CEO of OptiBiotix, commented: "We are pleased to announce this agreement with Morepen, a well-known and trusted supplier to pharmacies, physicians, and retail customers across India. Morepen brings an extensive sales team with experience of highly differentiated scientific products and countrywide access to a network of around 500,000 pharmacies across India. Based on current forecasts, the Directors anticipate this agreement could contribute in the region of £6-7 million revenue per annum in the next four to five years."

David Blain will join the Company as acting Finance Director on 1 November 2024. Mr Blain's appointment to the Board of the Company will be subject to normal regulatory due diligence.

David is a member of ICAEW and has extensive financial, commercial and Board experience in a number of private and public companies, including Iksuda Therapeutics Ltd, Applied Graphene Materials plc, Nanoco Group plc and Inspired Capital plc (formerly Renovo Group plc). Mr Blain is currently Financial Director (non-board position) at Iksuda Therapeutics Ltd.

OptiBiotix #OPTI has had a tumultuous couple of years, going from almost weekly deal announcement RNSs that drove the share price way above the 100p level, through to changing its business model with almost all of the previously announced deals quietly forgotten and brushed under the kitchen rug.

In recent times its single point of failure CEO Steve O’Hara has spent a considerable amount of time in hospital with serious conditions, while his “leadership” team has failed spectacularly to interfere with the day to day business of one of its former IPs spun out into its own legal entity.

This coupled with a series of missed financial targets, stalled business momentum and confused messaging has seen the shares collapse to 5p before its recent recovery and retrace back into the teens. That’s not to mention the inflated Plc costs, related party employment and general lacklustre governance.

Today #OPTI released its long awaited RNS outlining its agreement with Dr Morepen of India for its LightLife branded product release. This could be a big deal, however as is disappointingly predictable with #OPTI its never quite that straight forward. With projected revenues in the multiple millions the share price might have recovered well into the 20s and perhaps beyond, but a careful re-reading of their announcement throws up some red flags.

Rather than just selling their patented ingredients to Dr Morepen, OptiBiotix are having to spend north of £1.5 million on marketing to help oil the wheels of the product launch and early days momentum. This is reputedly to be spent in tranches and subject to sales progress, but nonetheless this deal shows both the sub-scale nature of OptiBiotix and the rather weak hand it plays when confronted with resolute negotiating.

Would #OPTI have agreed to such an outlay if it had other cash generative deals on its books? It is suggestive of a leadership team scratching around to rescue a once-promising early-to-market IP in a growth segment of the health & wellness field, to one with a growing history of failed deals and missed opportunities.

Don’t get me wrong; I’ve long believed that the IP the original OptiBiotix stable had was at the forefront of the sector with genuine potential for rapid revenue growth, however, after pointlessly spinning out revenue-generating IP into standalone businesses, I sense this is somewhat of a Hail Mary shot and perhaps one of the businesses last chances to capitalise on its early mover advantage.

Talk of talks with Pepsi et al have been muttered in the corridors FOR YEARS, and today yet more shareholder gossip of such talks that could be transformative spoon yet more jam on their toasty dreams of tomorrow.

This remains a very high risk trade; we’ve made a few shekels in recent weeks on the share price volatility and like all illiquid stock it could re-rate to a factor of multiples should it finally land the transformative deal. Until then all credit the market

We have signed a supply contract with KAG Industries as our alternative manufacturing partner in India

to mitigate the risk of relying on a single partner in the territory, and they have commissioned machinery

specifically to supply product for Dr Morepen and are advertising SlimBiome® in their forums and

We continue to sell GoFigure® products through approximately 1,000 Apollo Pharmacies stores across

India, with a new product launch scheduled for next month, with improved branding and flavours. A

launch on Amazon India is also scheduled for October 2024 in addition to pursuing a strong pipeline of

other opportunities with leading and emerging players in weight management and sports nutrition in the

country.

We believe that our agreement with Morepen and the upcoming launch of more products under the Dr

Morepen brand, plus other partner launches planned for Autumn 2024 and the reorder of products by

Apollo pharmacies could generate significant revenues and bring profitability to this part of the business

during 2024.
