as we the shareholders own Zakari (by virtue of us owning Scancell) then if Zakari is spun out we still own it. Depending on how the spin out is done we may be allotted shares in Zakari directly, or shares would be allotted to Scancell (and therefore increase the value of Scancell). If Zakari then issue further shares to raise funds the % of Zakari that we hold (directly or via Scancell) would decrease but Zakari would have the funds needed to develop the mAbs which should increase the overall value of Zakari.

Indeed iPad, given that it is quick and easy to set up a co. it seems likely that they had to set it up (i.e. it had to legally exist) in order for them to execute a step in whatever their strategy is e.g. transferring IP to Zakari or creating a contract between Zakari and another party would require Zakari to legally exist.

So why haven't Scancell RNS's the setup of Zakari and the reasons behind it ? Well Cleary they have something in mind (otherwise why set up the co.) but maybe they are weighing up specific options before nailing down their plans and weren't intending to inform the market until they reach that point. However, now that they have inadvertently indicated to the market that they intend to do something with the mAbs it is my opinion that they will need to communicate something to the market quickly.

My take on the reasons behind the setup of Zakari:-

- Scancell know, from their further studies, that the mAbs have significant value
- Scancell also know that whilst the mAb's are 'hidden' amongst the other platform the market is unlikely to ascribe them their true value (IMO the current cap includes little value ascribed to the mAbs)
- Scancell also know that further funding will be required and / or partnerships to take the mAbs through trials etc.
- Therefore, for the above reasons, my opinion is that Scancell intend to spin out the mAbs business and list it in the US (or joint listing) which is where Stifel come in
- The setup of Zakari is a piece in this this jigsaw in that the mAbs IP will be transferred into Zakari and then Zakari will be spun out from Scancell.

All of the above is my speculation and, as Bermudashorts rightly says, may be complete nonsense. If it is accurate (or even close) it would IMO be a very good thing for us shareholders.

Surely now is the time for Vulpes to buy more - news has been announced (so no risk of insider trading) but market has not yet appreciated the news hence SP still low...

Unbelievably lacklustre response from the market...need to get some mainstream press to convey this to the public in an overly simplistic manner.

Hopefully we'll get a Modi1 update before end of H1 with some positive news, and maybe even news of first patient dosed in the SCIB1-2 trial....that would put the icing on the H1 cake.

There is no way that SCLP are going to hang around waiting for peer review / formal publication - the urgency is far too great and none of the other vaccine developers took that approach. I would hope that now that this paper is in the public domain we will get news on trial etc. very quickly. Did somebody say that Tuesday's are are a good day for RNS's ?

I guess that they will have been testing SN17 (or other SN's) against the Delta (Indian) variant over the last few weeks as there would be little point in manufacturing a vaccine for trial that hadn't been shown to be effective against that. Hopefully the submission of today's paper to the pre-print service indicates that they have found Covidity to be equally effective against delta otherwise why submit the pre-print only to later have to say 'oops, it doesn't work against delta'.

Will this now be the trigger for RNS(s) relating to trial / partnership / funding etc ?

IMO the CEPI funding situation makes no difference at this stage - indeed Scancell may not even have asked them for any funding given how much they have in the bank and benefits of self funding P1/2 (i.e. no obligation to sell the vaccine at cost or very low margin, although they may of course choose to do so). What does matter is getting Covidity into P1/2 trials and getting some data. If the data is good and indicates potential as a universal vaccine then Scancell will have their pick of partners / funders.

Looks like the market is seeing todays news as just another in a long line of validations of the Parsortix technology and an indicator of potential future uses for the tech, but isn't really ascribing any near term value. IMO this is a mistake.

Whist today's news isn't really telling us anything we didn't know, what it is doing is shouting out loud and clear to the ctDNA co's that they need to start seriously looking to get in bed with Angle as it has now been shown through a published study that their ctDNA technology on its own is not good enough to base clinical treatment decisions on.

Whilst on its own this RNS may not trigger action from the ctDNA co's, the direction of travel is clear and it is now a matter (IMO) of 'when' and not 'if' partnerships with the ctDNA co's will happen. When the first one is announced there will be SP fireworks (IMO).

We have an anniversary to celebrate tomorrow - it will be 6 months sine the last update on the progress of any of SCLP's products (on 18/12/2020 we were told which of the Covidity candidates was being taken forward). How time flies....

MHRA SLA is to review trial submissions within 30 days and respond to the requester within 60. I'd therefore expect that somewhere between 30 and 60 days after submission Scancell will be given the go ahead to start the trial (assuming MHRA don't reject the submission).
