It’s not the name on the shareholder account. Rules, many years ago, were drafted to ensure that friends, mates and muckers couldn’t buy shares that would, when the company was bid for, suddenly had 50.01%. Acting in concert has to be declared as one (associated) shareholding. So, to be absolutely clear.. I could ask friends to each buy 5m shares. When the aggregate amount of shares reaches a certain level as a % of the issued share capital, that triggers an announcement such as TR1. It also triggers other things such as if the aggregate holding exceeds 30% then you have to make a bid for the rest of the issued share capital at the highest price you have paid for any one share during the past 12 months. It’s just clicking the issue about buying for your 2 years old and asking mates to buy shares on your behalf or in their own right (this may be looked at as insider Dealing).
