No nothing to lose for a shareholder being offered £1 per share for 3% of their holding. If a 100% take up that would keep percentage ownership the same for a shareholder,but the reduction in the share count would be a lot less than will be the case with buybacks. 2023 - 4.1 Billion + shares cancelled?

Also with the buybacks a shareholders percentage ownership increases if retaining shares.

A tender offer which would need shareholder approval also, would have an unknown spend amount.

Many shareholders who have purchased above 55p I imagine wouldn't be that keen on reducing their share holding at below cost in a tender.

The share price at the start of the buyback was 52p.

If instead a tender offer was made and the share price between the offer and the approval by shareholders , increased to or above the tender price then there would be hardly any take up.

A share repurchase programme gives a definite spend amount to reduce the share capital.
