MXO paid £4.32 per share in SD Ltd., (along with others, except the founder and his mate & family), costing £842,400 ...
This equates to a company value of £212,447,106.72 as a multiple of £4.32 ...

When (not if) this company comes to market, it will be floated on the main stock market under a vehicle (possibly MXO or ADM or a shell company that has delisted) with a similar or higher m/cap.

With jv's and MoU's with Rolls Royce Aero, Airbus & Siemens it will be concentrating on production of futuristic electric airplanes ... (for Emirates Airways?) ... so would be a multi $billion enterprise.

As of the last confirmation statement (CS01):
There are a total of 49,177,571 shares issued in Superdielectrics Ltd.
MXO holds 195,000 shares = 0.397% a miniscule amount.
Also, note that Andrew & Anna Frangos own 804,000 shares each = 1,608,000 = 3.27% jointly.
There may be other holders (ie. Stefan & Co.) hiding behind nominee holdings and yet to reveal themselves.

Just to update you ... lost in all the furore of late.

Crude oil tanker Karvounis has discharged our offtake in Melbourne and has just set sail for Gamba terminal (offshore Gabon). Its draught is now 8.9m (down from 10.8m) with an ETA 29/05/2019 ... a long journey ahead.
Possible next offtake will be for Panoro Energy (PEN) at their Dussafu field.

Once complete, by mid-2020 if on schedule, it will be the world's largest oil refinery, being able to process 650,000 barrels of crude oil per day.

With Dangote strategically placed close to Lagos commercial area, the crude oil raw materials are certain to be provided by the close proximity of the Aje field (24km south and the closest) amongst others, Egina Deepwater field (120km South) and the massive Agbami Deepwater field (220 miles SE of Lagos).

It is a possibility that once Aje comes full stream online (Phase 2, wells 6 & 7), a pipeline direct to the Dangote refinery will be in place, thus reducing the need for crude oil tankers to ferry the offtake from the FPSO (a replacement for Front Puffin that can handle gas in large quantity). This will be a win-win for both provider and refiner.

There are nearly 50 new refineries planned for Nigeria, these will in time satisfy domestic requirements and allow the nation to become a net exporter of oil products instead of a large importer, as it is now. The seas and lands around this part of the Gulf of Guinea are rich and plentiful in oil & gas deposits that are through modern drilling methods able to deliver mammoth amounts of product.

Not to be outdone by UAE's HH Sheikh Ahmed Damook al Maktoum signing MoU's with Nigeria, the Saudi's are courting President Muhammadu Buhari of Nigeria and Emmanuel Ibe Kachikwu, Nigeria’s minister of state for Petroleum Resources, to sign MoU's in the first week of May.

The focus on Nigeria and its keenness to foster relationships with Middle Eastern oil/energy ministers can only promote MXO (soon to be ADM Energy) to further prominence in the rush to provide the essentials for the much-needed fuel and gas requirements of the rapidly expanding West African nations.

There is no love lost when the Saudi's compete with the UAE Sheikhdoms ... watch out for further developments.

The 0.6p high quoted as the 52 week high does not include the 30% extra shares issued in April 2019 to the Sheikh..... So that dilutes the comparison high price down to where we are now....0.4p.

It shows their endeavour and farsightedness for when oil revenues reduce.
"ADM Energy" will be HH Sheikh Ahmed's personal flagship .... all from little ol' MX Oil .... methinks!

In the announcement RNS re: "Strategic Investor" on 15th April ....
"As part of the agreement for this strategic stake, the Company has offered the Strategic Investor the right to appoint one person to the board of directors, subject to requisite regulatory approval and process, and the intention is for the appointee to take over as Non-Executive Chairman of the Company. A further announcement will be made in due course."

So it appears that Stefan Olivier will continue in his position as CEO of the renamed company "ADM Energy" ... the new Non-Executive Chairman (when named, being the Sheikh's representative) will take over from Richard Carter who is Dr Johnny Hon's representative on the BOD, expect him to remain as a non-exec director.
How long this will last is anybody's guess, but with HH Sheikh Ahmed's team virtually taking control once ratified by the AGM, I can see wholesale changes in the structure of the company from how we knew it before ... he will demand efficiency and prudent expenditure of the funds, something not in SO's profile, based on past results....

There will be blood spilt ... and a few farewells to come.

I know of a £15k buy for 5,555,550 shares at 0.27p that was done at around 08:17 still not showing in trades.... will probably be put up after hours.
Maybe an extension to 9:00 and 11:00 auctions .... expect RNS because of over demand.
Once USA opens at 14:30 the price will take off again ... happens every day.

Apart from MXO's intriguing attraction to HH Sheikh Ahmed .... other MXO dalliances from the past have suddenly attracted a lot of attention recently ...

13th Mar 2019 - Tokyo — State-owned Japan Bank for International Cooperation has signed a memorandum of understanding (MOU) with Mexican state-controlled oil and gas company Pemex on areas including support for Japanese companies' participation in upstream development and refinery upgrades in Mexico ...this is the same Pemex who reneged on permits won by MXO in late 2014/ early 2015 and led to the name change of the company from Astar Minerals to MX Oil (before AJE was ever considered for what is envisaged now). Looks like the Japanese are also actively seeking partnerships and tie-ins with oil producers.....

News today 23rd April, I see that ExxonMobil with it's JV partner Hess Corporation have announced their 13th Oil Field discovery off Guyana .... wasn't too long ago that our present CEO Stefan Olivier was sounding out Guyana with proposals to buy into lucrative oil-producing areas offshore ... something else that came to nothing for lack of funding at the time.

At least we can now hopefully look forward to a more certain future under the stewardship of HH Sheikh Ahmed & Co.

It is notable, that he was instrumental in establishing SINOPEC Group (Beijing based, Chinese owned Petrochemical, Oil and Gas, the largest Oil refining conglomerate in the world) in the UAE back in 2006 and has been associated with them ever since.
Maybe they will form a tie-up with Nigerian billionaire Richard Dangote for his soon to be completed, Lagos oil refinery, it will be the largest in the world. .....
All very convenient, it gives the Chinese (through SINOPEC and the shareholding in MXO) and the Sheikh and his team, with Nigerian involvement a cosy relationship to be nurtured for the future, with a win-win outcome, something HH Sheikh is on record as saying in the past he likes his deals to have.

Likely CEO of newly formed ADM Energy plc (ex MX Oil), to represent HH Sheikh Ahmed's interest, favourite for the position must be Hisham Al Gurg who has a track record for SEED investments in managing and guiding the group's interests.

You see that there is an Executive Team member for each country, appointed from a national from each country ... therefore likely to be a Nigerian in this instance, yet to be named, well placed to oil the wheels with the Nigerian Government.

I expect other major shareholders to be represented on the board by Non-Exec Directors, representing the Chinese investors who were introduced by Dr. Johnny Hon in 2015/16. As it seems likely, it was him who introduced the Sheikh and his entourage to MXO. Maybe Richard James Carter the current Non_Exec Chairman (representing Dr. Johnny) will step aside in favour of Dr. Johnny Hon himself as a non-exec board member to raise his profile in the company and placate the Chinese who have invested over US$11m in the company (probably more now) and have seen their shareholder value and % of control reduce alarmingly.

I expect Stefan Olivier, with his 63 million shares to be retained on the board as a non-exec director, to give him time to explore other avenues with his new babies Naturi Vita Ltd & SKO Holdings (London) Ltd with Andrew Frangos also elected a non-exec board member to represent his shareholding (350m shares in 2 holdings with his wife Anna).

Don't forget the recent dealings in Natural Vita Ltd (incorporated by Andrew Frangos & Stefan Olivier) ... renamed Naturi Vita Ltd ... where AF has significant control (75%) ... this could be the next venture for our heroes ....

One lot of oil is no different from the other (Crude to CBD) when it comes to making money.

Following the official winding up of EER (JV partner in Aje) in February 2019, the liquidators have been working behind the scenes to evaluate a figure for the sell off of assets of the bankrupt company.

With ADM onboard we will be well positioned to snap these up and consolidate our stake in the AJE OML-113 field. It would then be prudent to make a generous offer to Panoro Energy for their portion of the pie, which will all be served up on a delicious platter ... eventually leading to ADM swallowing Panoro (PEN:OSL) up as a whole to incorporate their interests in Gabon & Tunisia, where the farsighted Sheikh has MOU's already in place. ... That would lead to a tie-in with BWO who provide all the deep water drilling rigs and FPSO's..... nice and cosy and manageable with concentrated attention to efficient and profitable gas & oil production.

Can I nominate myself as a non-executive board member of the newly formed ADM Ltd (soon to be plc) to monitor and approve future moves and motives of the company as "Non-Exec Compliance Director" and protect the interests of Long Term Shareholders in MXO and Astar Minerals from many years before?

My aim (for use of a suitable word), is to make sure that all shareholders are kept well informed of the intentions and dealings of ADM Ltd., something that has been severely lacking in recent years under the stewardship of the CEO Stefan Olivier..... he seemed to revel in keeping shareholders in the dark until the last minute.
My remuneration would be based on results from a meagre share ownership and expenses.

Shaun Zulafqar a 29-year-old law graduate whizz kid is the likely representative of the young H.H. Sheikh Ahmed on the new BOD of ADM .... so keeping it young and vibrant, like the Sheikh himself.
He was already installed on the board of MXO as company secretary, a position he will relinquish when MXO changes its name to ADM Energy Ltd, where, today he was announced as the sole director/company secretary with a 75% controlling interest in the company.
He also holds positions in Stallion Holdings Ltd., with a 75% controlling interest, formerly known as Emetals Ltd until May 2018 and Tek Metals Ltd until 30th Jan 2018 for 1 month after its set up.

In the next 2 weeks, we can expect friendly (to him and Sheikh Ahmed) new directors to be invited onto the BOD at an AGM and voted in accordingly ... some new names and some old ... for their experience, know-how and know who.
