MXO are the minority JV partner, but with the Sheikh now running the show under the new name ADM Energy, it will soon be the tail wagging the dog ... Firstly, he will buy out the interests of the others or come to arrangements for royalty payments to them for their part, under a new restructuring of the project to give him overall control with the help of the Nigerian Government. He will then bring in his own management team and bring Multinational Oil Companies (could be US or Chinese (Sinopec) etc.) to farm-in for the next 2 stages (Oil & Gas) with the emphasis on speed to get the enlarged field into production (3-5 year completion).

Like I said before, MXO is going overnight from a Sunday League soccer team to a Premiership, Champion's League winner ... unprecedented (even by Tullow Oil standards).

Ramadan begins on Sunday 5th May and lasts until 4th June (or next crescent moon) ... so nothing will happen during this period of fasting.
In the Muslim world, business is kept to a minimum until the festival is over, so that is why The Sheikh will not be doing much until early next month ... patience will be rewarded (price will drop when no news for a while).

With his clout, for use of a better word, I cannot see the Sheikh pussyfooting with Yinka, Panoro Energy and all the other partners presently involved in AJE Oml-113 ... he has the ear of the Nigerian Government to back him up and they will not want to interfere with his plans. So he will effectively want full control of the project and take responsibility for all the farm-ins from International Oil & Gas Companies and others he introduces, to get the next 2 Phases (oil then gas) into production at the earliest possible time. Therefore, will he propose to buy up the interests of our JV partners in the offshore field and use their expertise on a pay per contract basis to provide income and royalties for them? Remember this project stalled for a while when we and the partners were at loggerheads with Panoro ... he would not allow that to happen again.
Also, note the Sheikh has already signed MoU's with Gabon's oil and energy ministers, so Panoro's Dussafu permits maybe on his radar too. He is determined to be the kingpin in the West African Gas Pipeline (WAGP) project to supply, Benin, Togo & Ghana who he has also signed up in the last 6 months to MoU's... this project, with MXO as his vehicle, has been in the planning for some time by all accounts.

Once the current share price reaches 17p it will be worth $1billion ... £760,680,000 at today's rate of exchange ... calculated on the 4,741, 000,000 shares in issue (give or take a few thousand) ... soon to become £17.00 with the 1 for 100 consolidation. ... around a 53+ bagger or more.
Hope the keyboard warriors on here have disappeared by then and found another share to target, when we can enjoy the fruits of our investment to the full and discuss how we are going to spend our windfalls.

Page 26 of the takeover document is very interesting, where it says:

"Additionally, PetroNor shareholders, being NOR and Petromal, will receive in total 155,466,446 warrants related
to a business development opportunity offshore Nigeria which is in an advanced phase of negotiations (the
"PetroNor Warrants"). The Petronor Warrants will vest upon (x) a signed acquisition/farm-in agreement for a gas
asset in Nigeria, and (y) a signed and legally binding gas offtake agreement relating to the gas from such asset,
both agreements on commercially acceptable terms approved by the Board of Directors (the "PetroNor Warrants") .....

So who is the farm-in agreement with in Nigeria? The offshore business development opportunity? ....

African Petroleum Corporation Ltd today bought up 100% of Norwegian company, PetroNor E&P Ltd., who operate gas and oil projects on the West Coast of Africa off Senegal & Gambia ... with the same intentions as the MXO partners in Nigerian AJE OML-113 ... to eventually provide gas and oil to the African West Coast Pipeline that runs the whole length of the Continent north from Namibia to Morocco.

Be aware, it is 341 pages long, but is worth looking through for the same prospects that apply to us.

So there is plenty of acquisition activity going on to secure a piece of the action ... something the future seeing Emirates Sheikh Ahmed had identified as worthy of investment..... things are moving fast, with the Saudi's also sniffing around to get involved with oil & gas projects.

If Sheikh Ahmed buys Panoro ... it may be considered a BOGOF (buy one, Panoro, get one free, MXO) ... plus there are all the bits of the now-defunct EER to mop up in the liquidation sale.
Perhaps he could host a new version of "Supermarket Sweep" and replace the sorely missed Dale Winton.

Looks like Mr Johnny Hon has got out of jail by introducing HH Sheikh Ahmed to MXO to placate the Chinese, he is like Bernie Eccleston of Formula 1 fame, it is who you know and are on first name terms with and not what you know.

Worth reading through, it is very well presented.
To coincide with MXO's RNS today (Competent Person's Report CPR), our Norwegian JV partner in AJE OML-113, Panoro Energy, has published a colourful presentation (22 pages) of their interests in Nigeria, Gabon & Tunisia.
I am surprised their share price has dropped back slightly on the Oslo exchange (PEN:OSL) to 16.84 Norwegian Kroner (NOK)... this gives an m/cap of £94.64million ... a takeover target?
As I intimated before, our benefactor and saviour, HH Sheikh Ahmed Damook al Maktoum, could now be contemplating taking a stake in the company (Panoro) to incorporate the MoU's he has already signed with the 3 countries involved in their portfolio.
It would round up nicely the 3 significant stakes in Africa and give the Aje future investment the backing required to go to Phase 2 and the gas programme that has worried both MXO & PEN in the past for where and how the funding would be raised. I also believe a major US oil company is waiting for the right moment to become a partner in the venture, that will happen once the Sheikh has found his feet and there is a reliable direction to future expansion shown.

Was it a coincidence that MXO came back from the dead (when the share price was previously wallowing at 0.045p) over the Easter/Passover holiday ... hope the next AGM will not be "The Last Supper" when MX Oil disappears into the ether, to be replaced as ADM Energy which in turn delists into private hands, before returning as a main market multi-diverse company vehicle with a huge m/cap.

I see that Atlantic Carbon (ATC) renamed Atlantic Carbon Group (ACG) a delisted AIM company I have a large holding in, was due to come back to the main market in an RTO with Daniel Stewart Securities (DAN) that stalled at the final hurdle earlier this month, is also on the radar of Andy Frangos on Twitter (@Frangosa) ... could be I will bag a double multi-bagger when both are relisted on the main market !!!

With the future requirement to replace current FPSO "Front Puffin" at Aje OML-113 to allow increased production and refinement of oil and gas, it is worth following developments that might give a clue to what plans are afoot.

Maersk Supply Service has been selected to deliver an integrated FPSO mooring installation and replacement solution for an unnamed American oil major in the Gulf of Guinea.
The supply ship to possibly undertake the initial preparation work, Maersk Achiever, is currently moored in Walvis Bay, Namibia before the commissioning of the replacement FPSO.

Although it mentions "an unnamed American oil major", could there be plans already on the table for a US major to enter into a JV agreement with the new AMD board (when formed) and Aje partners to upgrade the FPSO? ... the keywords in the statement are "replacement" and "Gulf Of Guinea" .... both apply to MXO.

I will monitor the movements of the vessel Maersk Achiever and continue to keep an eye on FP and nearby goings on.

I have just realised, I was not only at the birth ... I was also at the conception, 9 months ago... LoL!!

MXO is the equivalent of a Sunday League soccer team, without a proper football pitch, that will suddenly be transformed into a Premiership Football team that goes on to win The Champions League for the next 10 years.

And we were here first .... at the birth.

Mr & Mrs F's combined holding of 364million shares in MXO are now worth circa £1,401,400 from a buy-in of around £200k .... so they are sitting pretty enjoying the surroundings of Lake Geneva.

That is why there is more to MXO than meets the eye ...
It could be what HH Sheikh Ahmed & his team have identified and this is just the beginning of something bigger than we can envisage.
The Middle East can see there is alternative energy that will threaten their dwindling oil supplies and petroleum/deisel cars will soon be a dinosaur ... at the same time power will be generated by solar/wind/wave generators that need high capacity storage and replenishment properties ... alternative energy supplies are in their infancy with lithium and sodium alternatives. This is just the start.
Aje and other oil fields will be more in demand for their gas than oil in 2030 and beyond. That is why huge ($250m +) investment in the gas offtake is also crucial, something MXO and its partners would struggle to raise. With the Sheikh and his family and now the Saudi's courting Nigerian energy ministers there could be competition that would benefit us as shareholders in the future.

MXO Ltd owns 195,000 shares in it since October 20018 (paid £4.32 per share = £842,400) and others involved with MXO have large holdings (Mr & Mrs Andrew Frangos own 1,608,000 shares between them). We suspect others involved with MXO have undisclosed numbers of shares held within nominee accounts.
The strategy of diversified investments was approved by the BOD and shareholders last September 2018, so they wasted no time in investing (a fait accompli?).

Why has MXO a shareholding? Could it be to bring SD to market under the shell of MXO (by RTO) after it has changed its name to ADM Energy or been hived off as a separate entity.

What is at odds with MXO and all oil companies, it would lessen the demand for some carbon fuels (oil) to power the new generation of clean fuel (hybrid and electric) engines, generators and turbines. The payoff would be cleaner air and a healthier environment with lower emissions and toxins released into the atmosphere.

The funding required is huge, but with the right people behind it, SD Ltd cannot fail.
