I am curious as to why BriarwoodChase Management LLC would have any interest in Spire - it really does not seem to fit their stated buisness model. I did notice that one of its Managing Directors began his career at Bain Capital which were one of the original reported PE firms that cast an eye over Spire.

The short answer is the Panel will not intervene if there is seen to be a realsitic chance of a deal being done.

Your timelines are not necessarily accurate and is very difficult for outsiders to know. New interested parties may have emerged shortly before the end of the second PUSU period (could even be a resaon why Bridgepoint walked). New parties could have emerged today so the Offer period could run for some time yet unless names are leaked and the PUSU comes back into play.

I hope the extension of the Offer Period is more supportive of a deal being reached.

The owners have had ample opportunity over many years to have removed the entire Board - they have chosen not to do so.

£260m EBITDA - £65 FCF and an estate valued conservatively at £1.4 b , navigating COVID and working with NHS and the inherent challenges that creates is a decent performance in my view. Board cannot control the share price and there has only been a tiny free float and very little investor interest. The BOard has also recommended past bids and they have been blocked.

A lot of anger being directed at the Board here but the fact of the matter is that the major shareholders blocked a £3.60 bid several years ago and a subsequent bid of £2.50 was also blocked.

The major shareholders could also have very easily not relected the entire Board on numerous past occasions at the AGM's but have choosen not to do so.

The constant whining about fees paid to Rothchild should be directed at Harwood and other activist shareholders. It was not a Board decision to conduct a Strategic Review.

SPI has financial metrics as good as any company in the sector and a very valuable property estate.

SLB's are banded about, but timing is now poor and there are other considerable downsides for SPI to take this on for their account.

Hopefully for those who want to see a takeover there are trade buyers and possibly soveriegn wealth funds given the asset backing that might be interested.

It could be a tactical ploy on the part of Bridgepoint, set a low base and they can always return if another bid drops, or if they are invited to do so by the Board. Timing as you say is unusual- leak not just a bid but a specific bid price one day and walk the next - everything is done for a purpose. Bridgepoint must also have been aware of the major shareholders expectations so a bid of £2.30 was never going to fly, so why put it in the press.

Announcing an intention to bid under the Code is a binding and more importantly expensive process - better to wait and see how matters unwind with the other unmaned interested parties particulaly if you still have dry powder in your gun.

I would take it all with a pinch of salt - if you buy- in to broker forecasts and 200 day moving average as a retail investor I would rather hold than sell at £2.30. For larger shareholders they are trapped as they need a liquidity event to exit.

The strategic review must be complete but the company remains in talks with potential suitors - for those hoping for a takeover that is the best they can hope for.
