As for your views, I have to break it to you but no one really cares. Most of us have made a very tidy return on SPI and moved on. Quite frankly if it drops back to £1.50, which it will not, I am more than happy to go all over again and I am sure Mr Griffiths will do the same.

HMRC will view Griffifths as being a professional trader and therefore if he is a UK resident he will taxable on his world wide income including his profits from CFD trading rather than them being subject only to CGT as would be the case for most retail CFD investors.

Domicile of the broker has no relevancy to the UK tax treatment - if only !

No 5% FCA cap for certified professional investors which Grifftths will be - much, much, muito levarage available.

As a professional trader/investor he can probably command up to 10X leverage on CFD's. By my rough calculations his return is circa 6 x his margin stake.

it s a great move as it sets a floor at which, if no comptetive bids surface, tosca/mediclinic (that has plenty of firepower) will get spi on the cheap and float in a few years at a huge premium to £2.50. they only need raise circa £550m plus debt so not to challenging given the asset backing, and don't expect they would have a problem finding a pe partner to take a stake in the deal.

the rollover does not indicate a shortage of funding, it strongly indicates mediclinic and tosca fund working in tandem and they know full well that circa 12% of retail investors will sell at £2.50 as will many of the smaller insitutional holdres as they will not have a mandate to hold unlisted investments so will also be forced to sell at £2.50.

alternatively it will flush out pe and tosca/mediclinic will push hard for the £3+ that we all know they are seeking with a very nice plan b in their back pocket. it really is a genius move.

Danger of auto algo trading - no human interference but they work on a portfolio basis so maybe some offsetting big wins elsewhere.

They don't need to bid anything - they will rollover 30% into Newco and be a even larger major shareholder there and take a bigger slice of the when it is floated.

Absolutely bigdaddy - I believe mediclinic are in cohorts with Tosca and will accept the offer and rollover their shares into NewCo instead of taking the cash. Most other intsitutions will not have a mandate to hold unlisted shares so will take the offer of £2.50. Tosca & Mediclinic will then be free to do as they wish, I doubt an SLB more likely a float in 3-5 years and very large premium to £2.50.

To build a business like this from the gorund, even if possible given the geographical locations of the clinics and hospitals would cost several billion pounds. Just opened a new clinic in Wimbledon, near me. Its agreat deal for them if they pull it off.

Ashleymsn also makes a very good point, to be trading so near the £2.50 offer given the past history of failed bids might suggest more is to come. Its an interesting dynamic beacuse Tosca/Mediclinic would be arguing against themselves if the took this stance.

If Tosca & Mediclinic pull this off they have aquired SPI on the cheap and watch them float it in 3-5 years at at least £8 a share.

I agree, I think it will go through because Tosca + Mediclinic+ maybe some others will get control for a great price. Will PE return, maybe not.

Retail investors, however pleased with a £2.50 bid, and it has served me well , will be giving up a lot. This a valuable strategic asset, estate valuation well above £2.50 and a sector which I think will be transformed to the good. I would love to rollover my shares but from past experince you get screwed over with take privates.
