Surely it would make sense for TILS to announce a cut off date in the future to allow the share price to expand?

If they announce in an RNS that the cut off is the same time as that RNS is issued... Will that not cause a mass sell off the day after (given that people know they're getting the stem shares and they will look to sell before the capital demerger?)

If they announce a cut off date that is, say, 7 days in the future.. Will this not have the opposite effect short term? A mass of buys to "get in"?

Given that GC has warrants at higher prices, surely the second option is in his interests?

Nice article there offering some kind of idea what Accustem is likely to be valued at on listing... Approx 220 million would get us our suspension money back at around 1.4% share capital of the company.

5% of the company would be lovely..

How has the interest with only surfaced recently?

Clearly TILS knew StemPrintER was potentially viable a good 12-18 months ago...

Cerrone himself said they've been looking at all the options for "some time"..

I have nothing more to add anyway - and I wish all existing holders all the luck in the world... But I think you're struggling to see the wood for the trees.

From Tizianas own Final Results RNS 18th June (two weeks ago) :

If Cerrone himself makes reference to STEM as a diagnostic tool... That's good enough for me, and probably Syms too.

The" specific cancer" that Syms makes reference too in our most recent RNS isn't breast cancer... But more specifically recurrent metastasis... Whereby early detection and treatment is absolutely key if the patient is to survive.

The delay is the demerger of accustem - that's the whole point! If we've had to patiently wait for Tiziana to rubber stamp the demerger before we could then administrate the RTO.. Would you not forgive the BOD...?

Just another odd little thing I've found..

Tiziana Life Sciences are registered in St James Square, London, SW1Y.

Accustem are registered to 107 Cheapside, London, EC2V

I couldn't understand why Tiziana would choose to register the company over 2 miles away.. And then came to the conclusion that it was probably the only free office space they would find at the time in Central London...

That was until I realised that Bould Opportunities are registered 100m down the street at 80 Cheapside. Like I've said always said.. Maybe just another very odd coincidence.

Kunwar addresses stemprinter as a diagnostic.

My evidence for StemPrintER is based on our most recent RNS stating we are in discussions about...

"the acquisition of an identified target (the "Target") in the biotechnology sector (the "Proposed Transaction"). The Proposed Transaction , if completed, would comprise the acquisition of a company with a technology and patent portfolio focussed on the early detection of a specific cancer. This is an exciting opportunity to provide a new diagnostic test for cancer that addresses unmet clinical need for early detection. Early detection is proven to increase five year survival rates."

Everything from that excerpt points directly to breast cancer and TILS (the early detection five year survival is the clue).

Allan Syms background is strongly based around genomics, life sciences and oncology and is therefore directly of interest to Tiziana (may well end up a board member)

Accustem is likely to want a quick listing rather than a costly and time frame IPO. Tiziana themselves were formed from a cash shell many years ago...

Bould can provide a quick London main market listing, and TILS get Syms as part of the deal.

The TILS AGM may not offer anything more than resiltions around t gt e spin out itself.. And possibly reduction of capital in TILS to pass on to Accustem... How those shards are then alloted between share holders (including us) could potentially be afterwards??

Yep - I expect so.

Surely we will know the proposed resolutions for the AGM fairly soon? If its via proxy, I expect we'll get some kind of indication in the coming weeks.

For all those naysayers... Just have a look at the time lines of the RNS' and updates. It's of my opinion that we've been waiting for TILS.. What more can our BOD do? This may well have been done and dusted by the time covid struck. Somewhat fortunately, TILS is now in the spotlight due to their Covid treatment and other success with both formalulab and milciclib. The StemPrintER spinout has clearly been delayed.

How could our BOD have done more? They've had to sit on their hands for 12 months or so before Accustem was incorporated.

Just remember - Tiziana themselves were formed from a cash shell...

So we have clarification that Accustem will be the vehicle to list StemPrintER... My question is now this...

Do tiziana list the company via an IPO to the main market (which will take ages...), go for a AIM listing (which may put off future investors/buyers), or do we list via a cash shell that can provide a quicker, cheaper route to market?

Given that the CEO of cash shell Bould Opportunities Allan Syms has massive experience in oncology, genomics and life sciences in general, I have my own opinion. I'd be interested to see what others think of a merger/RTO? Accustem gets Syms (and vice versa), a fast and cheap main market listing, and they also take with them any cash from Boulds coffers.

I have absolutely ZERO doubt that TILS/Accustem is the company we have identified as a target... Now all that remains is to see if the initially agreed plan is still in Tizianas best interests. Its been a few months since our last update, and we all know how quickly thinks can change in business.

The question has to be this - will TILS opt for an IPO to list Accustem? Or will they prefer to list via a shell, saving time and money? I clearly don't know the answer to that - but given that TILS has only extended its ATM scheme until that end of next month.. It seems that they want funding sorted quickly (without a placing that may rock the boat). Either all the ATM shares will be sold, or the 31st July will be the end..

I suspect tiziana will raise plenty of cash in this way (up to £20 million between April-July) and I suspect this funding alone will be used to get Accustem up, running and fully funded for some time.

5-6 weeks from here isn't going to be enough time to get Accustem listed via IPO, that's for sure.

The reason accustem needs an RTO is to become publicly listed on the London Market. This can be done via a standard IPO but this is both costly and time consuming. An RTO into a shell means a main market listing that is saves valuable time and cash. Plus the bonus of getting most of BOU's remaining balance sheet.
