Er, no I am simply reading Wood's own RNS statements, which keep repeating Wood's BOD are 'minded to recommend' Sidara's offer to shareholders. If Wood do not want to sell, then all they have to do is refuse any request by Sidara's to extend their time at the Wood negotiating table by 5pm 30 June. It is easy enough for Wood to do that and issue an RNS to that affect. But Wood will not do that as their hands are tied as Wood's lenders need a substantial injection of cash (hence Sidara's informal offer of $450M) to strengthen Wood's financial situation prior to Wood's lenders' consideration and approval of debt renewals.

The truth is, we do: It's all in Wood's RNS statements that date back to a few months now. Wood is 'minded to recommend' Sidara's informal offer...Wood is working with Sidara to meet pre-conditions...Wood is working with Sidara (jointly) and Wood's lenders about refinancing its debt ahead of a majority of loans maturing in October 2026 etc.
Icecool you wanted the Wood BOD voted out as you do not agree with them. However, even with a very, very low turn-out, all of Woods BOD were re-elected by decent margins...it was not even close.
For me, I am happy if Wood is sold to Sidara or anyone else for a decent price. As mentioned before (many times), Deloitee's have alluded to material writedowns on Wood's accounts. If Deloitte is right, 35p may not happen. With the Wood current share price at a lowly 18p, Sidara (with no other bidders in sight) may offer 25p per share to shareholders, and increase the $450M to Wood in order to keep Wood's lenders happy. In summary, the revised Wood accounts - if bad - could be the downfall of a decent offer for shareholders. In which case, the only real winners (other tha Wood shareholders who were brave enough to buy in at 18-20p) will be Sidara and Wood's lenders.
As Wood shreaholders, it's not what we want to hear, but it could very well happen. Be prepared.
