Given Sidara is the one and only offer on the table - and given Wood's dire situation - naturally the deal is titled in Sidara's favour. However, I would not say it is massively tilted in Sidara's favour. Sidara had to lower its original 35p offer, due to the FCA investigation and the uncertainties around that and any potential adverse outcome/penatties that may apply.
Further, it appears that from Wood's own RNS and as I stated quite a while back - that Wood will not be winning as much business as it could due to Wood's unstable foundations in terms of financial strength (or lack thereof). This means that Wood has not only been unable to write more business, but in the contracts that have been won, there are - by Wood's own admission - delays in start dates etc. due to the aforementioned.
Therefore, Sidara's offer of 30p is reasonable given Wood's current share price of 18p, Wood's dire financial situation in terms of net debt and negative cashflow for the forseeable future, and Wood's lack of winning new business/contracts (despite Wood's earlier update that it had a pretty decent sales pipeline), not to mention delays in Wood's new business start/commencement dates.
Like it or not, Sidara is Wood's (and therefore Wood's shareholders) 'White Knight' for the sum of 30p per share.
If Sidara has a real bargain, then another bidder ought to declare soon. Time will tell...
On that note, I do think that Sidara was 'invited' to take another look at Wood. Therefore, logically, surely the same powers that invited Sidara would/ought to have invited other parties, such as Apolllo to take another look. Maybe Apollo and any other parties, quietly said 'Thanks - but no thanks'... Maybe... So perhaps that means we can only expect Sidara to be the only bidder at the table...in which case, the offer is the offer. Take it or leave it. That my friends will be up to Wood's institutional investors, and the vote will be in favour.
Let's all hope for a second 'White Knight' to drive up the offer price!
PS. Reform and Tories have said they want to expoit O&G in the North Sea. If Reforem or Torries win the next election, then the future for Wood looks very bright indeed. Sidara will know that, but it will be tempered with the fact that the large Wood ship needs massive repairs to plug the many holes first.
