@RomanBi I have bought Wood on the back of the fact it will be sold. I have made that clear from the outset. I do not care if Sidara buys it or someone else, Wood's long and winding road under its own management has come to an end. Any other fantasy is inside your own head...you remind me of a frosty friend of mine. Lol

If the vote is 'No' (very unlikely but never say never), I cannot see that Sidara will walk. Instead Sidara will increase their offer probably to 35-40p under a 'take it or leave it' or 'last and final offer' basis...which will be accepted of Wood's investors. Remember, Sidara's offe rof 30p per share is only its first actual offer. In the meantime it would help if Wood announces new contract wins, or better still another bidder has entered the room!

Wood has a firm offer from Sidara for 30p per share and $450 million to through ibto the pot. Wood's lenders will fully support Wood under Sidara's private ownership. This is a complete no-brainer. In the absence of another bidder, once the vote is 'Yes' Wood will be privately owned by Sidara who has loads of cash and backed to the hilt by Wood's lenders. Sidara will enjoy Wood's huge growth prospects and turn Wood around to the betterment of Wood and its employees. There endith the lesson.

Graff has always said...over and over and over again...that there will be another bidder at the last minute (and to not accept anything less than 60p). Graff may be right...let's hope he is!

Not quite. The market was initially excited - a quick rise etc. in the expectation of fast profits from a low of 18p to a 28p. Quick, easy profits were made by day traders and others. However, Wood's audited accounts - although 'fair' (based on 'clean accounts') were indeed poor for the reasons I have already mentioned. Initially I thought that the Wood share price could climb and settle around 27p. However, after auction, I did not add, my thoughts were (and remain) that as without another bidder, the Sidara offer is fixed at 30p. Most investors would not want to invest and remain 'locked in' when Wood's shares are suspended from the completion of the vote - assume a 'Yes' vote is locked in - until the end of the HY2026 i.e. when the transaction os completed and Wood shareholder are paid 30p. Further, on the off chance that Wood investors vote 'No' (Icecool says there is a 90% chance of that) then Wood will have its debts extended only until October 2027 with no 'New Money' of $200 million, and no Sidara cash injection of $450 million...that would spell disaster for Wood and therefore Wood shareholders. Unless, Sidara decides to up it's offer...but more likely it will walk away. IMO

Late this afternoon, I did add an extra £13,000...lucky 13...to my investment in Wood as I kind of like the price point at circa 20p. It would not surprise me if Wood increases AM tomorrow. Either way, I am not bothered as I am happy to hold for 30p at the end of HY2026. During that period, I think UK investments may well become unpredictable, due to the upcoming budget and lack of business and consumer as a result of that. Hence, I will be happy to add more to my Wood investment over the next few days. Of course, in the meantime, if Wood announces another bidder then the current Wood share price and Sidara's offer of 30p will be ancient history! IIn the meantime, I am happy to let the Wood story run its course.

@Futurehire It matters not to JO what you or your sidekick Johnny thinks. The fact is that I am privy to lots of information concerning my investments via a variety of subscriptions and other news feeds. Apollo's withdraw of its offer for Papa John's is not high on my priority and is almost immaterial to any expression of interest from Apollo towards Wood. If Apollo wanted to make a play for Wood we ought to have been aware by now, which is why JO puts any such play at a mere 10%.

@GazaLA69 The vote is locked in and has been recommended by the Wood BOD. I do not believe it can be cancelled now.

@Johnychainlocker Sorry to burst your bubble, but JO subscribes to Reuters...this news had already done the rounds in the office in terms of discussion around Apollo a cpuple of days back. Just because Apollo has pulled out of Papa Jacks soes not mean it will offer to buy Wood.

There is only a 10% chance of another bidder (such as Apolllo) due to the complexities of the Sidara takeover, and the combined Sidara-Wood-Wood's lenders relationship.

I have always said from day 1 that next to Sidara, Apollo would be a possible buyer - and only a 10% chance of that. I have not changed my mind on this.

When Wood updated the market on 14 February and announced that it had cancelled all bonuses etc. Wood's share price went into free fall by 30%. In the same RNS, Woo announced it would have free cash flow of $150-200 million...it tuned out to be negative cash flow to the tune of -$404 million! After the initial excitement, Wood's share pricehas plummeted today and then limped along to finish circa 20p. The market almost always votes with its feet...based on Wood's loss of -$2.8 billion and net debt of over -$1 billion at YE2024 and cash flow negative position of -$404 million at the end of HY2025...the market has stamped out the door.

The funny thing is though, the lower Wood's share price, the more likely another bidder can wander up to the table and ask to be dealt a hand...

JO has always said that 30p is not reflective of Wood's growth prospects. Hopefully another bidder can recognise the same shortly, very shortly. Any rise in Wood's share price will only be driven by a second bidder. Without that, it is Sidara's 30p offer all week long and yep you guessed it, twice on Sunday!

Most investors know that Apollo has pulled the plug on its $2.1 billion bid to takeover Papa John's pizza a couple of days back (link below for anyone who missed it). Next to Sidara, Apollo is the natural buyer of Wood. However, there is a big difference between a slice of pizza and a gallon of oil..! Wood represents a far better growth oppotunity than Pap John's...a no brainer for private equity in that regard i.e. growth prospects.

Wood published its audited accounts on Thursday 30 October. Apollo pulled their bid for Papa John's...and announced such on Tuesday 4 November. Is this a coincidence? Time will tell...by next week! It's a long shot (I would say on 10% chance), but never say never...

If Apollo comes to the party, 30p will be smacked out of the ball park!

This is why it is important for all Wood investors not to vote either way until as late as possible i.e. 48 hours prior to the vote deadline on 17 November.

@Wilycoyote Sidara's offer of 30p per share is locked in. The vote will be passed on 17 November. Immediately upon a 'Yes' vote, Wood will have its debts extended and a brand 'New Money' facility of $200 million by Wood's lenders, and access to Sidara's $250 million (followed by $200 million upon completion). This deal is in the bag, everyone in the know knows it. JO has spoken.
