Agree TMT about the cost of mining in order to produce needs to be taken into account but the same cost could in part be the discount NCM would expect to apply to any offer they make to GGP. Given De GREY also have other irons in the fire, their SP / MCAP does not look that great for holding 100% of a 5m deposit

De Grey also look to keep their discovery costs below the industry average of A$20 per oz

A cash or scrip optional dividend would be fine as would not effect the SP.
Any shares issued in lieu of a cash dividend would be equal to the cash that GGP would retain so in terms of the companies value they cancel each other out.

It was reported recently NC had put in an application to increase the ore processing at Telfer by 3m tons pa.

Re debt financing, I would need to research this but do remember watching an interesting you tube piece that showed how companies with debt actually are valued more than companies that have no borrowings. Think it was on the principal that whatever the value a company has borrowed the market calculates a future earnings multiple return, which is then priced into the SP.

Bamps if GGP have said they were high priority in a past RNS they really should be explaining now why they are not or why Scally now has become a priority over them.

You have not missed anything TMT, it was only my assumption that all options issued to directors were issued as incentives.

Also, in the event of an optional mix & match, share and cash offer the bidding company can change options held in the target company to options in the bidding company.
More likely if the vesting dates are further out in time.

It’s up to the goodwill of the bidding company but the bidder can accelerate the vesting timetable of options on the target, thus allowing them to be converted and the shares eligible on a bid.

If they have not reached the vesting date they have not earned the right to convert.

Any unvested options means they have not as yet earned the right to a share.

While the focus correctly is on NCM and not just by this fund manager, it does and will drive NCM to go for 100% ownership. I have no doubt about that. No doubt at all.

Could even be MMs themselves who are converting or still holding warrants.

Good point , I believe NCM & GGP must have a good idea what is going to happen to the GGP stake. No way they would just shelf discussions until some time in the future. Conclusion is any finance guarantee for the mine have been underwriten by NCM
