I like the business model, very good comms from the company, cashflow building nicely, lots of potential for the individual assets and the sp of course. this is the most interesting company in my portfolio by far, definitely one for the ISA.

my pleasure pboo. it seems treasury shares are different to the EDR shares that UJO owns. the edr shares are under 'Investments' and are revalued in the Finals (14m at 1.45p for 31.12.21), I'm not sure if they revalue them for the Interims, any change in the value will be shown in the P&L for 31.12.22. Potentially the treasury shares could be very lucrative for UJO over the next couple of years.

Shares held in treasury are still officially issued share capital, the holder being the company. But, because a company cannot have rights against itself, the rights of shares held in treasury are suspended. The company cannot vote in respect of those shares, nor can it receive distributions (including distributions in a winding up) in respect of them.

For most tax purposes, FA03/S195(4) provides that any shares in itself that a company purchases are treated as cancelled, whether they are actually cancelled or held in treasury.

FA03/S195(8) provides that a sale of shares out of treasury is to be treated as an issue of new shares.

I may have misunderstood. I think it means RBD must issue a Notice of the GM within 21 days of 17/10 (by 07/11) and that meeting must be held within 28 days (by 07/12) of the Notice issued by RBD, happy to be corrected.

Assuming the request on 17 Oct is valid, it appears to mean no later than Monday 14th Nov for the GM
