No charge to Irish stamp duty is imposed on an issue of shares in an Irish incorporated
company. A subsequent sale of Ordinary Shares may, however, give rise to a stamp duty
liability as it will involve a transfer of existing shares (including a transfer effected through
CREST) and will generally be liable to Irish stamp duty at the rate of 1 per cent. of the
consideration paid or, in the case of a gift or where the purchase price is inadequate or
unascertainable, the market value of the Ordinary Shares.
The person acquiring the Ordinary Shares is liable for the stamp duty. However, in the case
of a gift or a transfer at undervalue, all parties to the transfer are liable for the duty. To avoid
interest and penalties, stamp duty on transfers effected outside of CREST should be paid
within 44 days after the transfer is first executed (unless the transfer is a gift or sale at
undervalue, in which case the duty should be paid within 30 days). Stamp Duty must be paid
and filed online. The stamp duty on transfers effected within CREST is generally deducted by
CREST at the time of transfer.
Stamp Duty and Stamp Duty Reserve Tax (“SDRT”)
Transfers of Ordinary Shares may give rise to liabilities to stamp duty or SDRT. The paragraphs
below summarise the current position and are intended as a general guide only to stamp
duty and SDRT. Special rules apply to agreements made by brokers, dealers and market
makers in the ordinary course of their business and to certain categories of person (such as
depositaries and clearance services) who may be liable to stamp duty or SDRT at a higher
rate. No liability to stamp duty or SDRT will generally arise on the allotment and issue of
Ordinary Shares by the Company, or on transactions where the consideration is less that
£1,000.
(a) Transfers outside CREST
An instrument (generally a stock transfer form) transferring Ordinary Shares outside
CREST will be liable to ad valorem stamp duty broadly at a rate of 0.5 per cent. of the
actual consideration paid. Stamp duty is normally paid by the purchaser.
(b) Transfers within CREST
Paperless transfers of Ordinary Shares within CREST will be charged to SDRT (rather
than stamp duty) at a rate of 0.5 per cent. of the consideration paid. SDRT is payable
by the purchaser. CREST is obliged to collect SDRT on relevant transactions settled
within the system.
Not given this share much thought over the last six months.
What are peoples opinions of having a target of .33 of a pence in the next couple of years? Placing, share options, etc, in June will serve as a dilutive factor going forward for sure, not to mention all the pi**ed PI's who are facing paper losses unless nearer 1p is achieved.
If Eqtec are allowing options to be exercised at .33 surely they have some confidence this is an achievable price short term with their current dealings and projects? Could be a good 30% rise from this level so may be worth a punt?
The silence from Ian Price is a little worrying, anyone spoken to him recently?

Crazy couple of days. Focusing on the volumes alone anyone who didn't know about Eqtec would have assumed the move came as part of an RNS. Speculation over why the seller wants/wanted out is going to rumble on until Eqtec want/are allowed to give us some comms. Clear as mud until then...

With the assumption that there has been a large seller/s in the background when would it be regulatory for them to issue a holdings in the company update? Would it be normal for an update to come after the 90 day lock in period for the issue of shares to Altair? That can't be far off, 4 weeks?
Question for the LTH or those who have a good experience of AIM, sitting at 0.81 and with so much reported potential, would this not be a great time for large Director buys? - Is it normal for this not to be the case in other stocks?
Got to agree with that train of thought. I would have expected an RNS for so many different irons currently in the Eqtec fire, but at the same time not naive enough to think potentially large contracts and projects are agreed upon overnight. Just got to let management do there thing. GLA.

Hats off to you if you are taking advantage of the recent dips though. Risky strategy IMO but an opportunity all the same.
We are all potential winners here. PI's need to look out for each other, AIM can be an unforgiving place, lots of back scratching with the PI's being left itchy! So sharing your thoughts on why, in your opinion, the sp will fall to 1p may start a sensible debate? Is it something more than the Altair warrants RNS?
Roobler, you appear to have 'lost' faith in IP and Eqtec. I think it would be foolish for you to 'hold' this any longer. Rid yourself of the negativity. Deep breath and log off, life is too short. You're hurting, we get it, risk taking isn't for everyone, daily fluctuations are to be expected.
To those who still believe, I wonder what Phoenix will make of the engineering design due to be delivered? Very hopeful to see the patented tech given a big tick from them, waiting patiently for the updates. The 1.5m will surely come in handy to get this moving, very exciting time for this company. GLA.

Not since September 2017 has Eqtec gone a full month without treating us to an RNS.
Could it be that we have radio silence until March, or will the trend continue, today/ tomorrow? - If so, what could it be and will it be positive?
Not a time I would like to be out of this stock. Call it FOMO but i'm holding... Risk v Reward. GLA.

1. With Eqtec having a 30% share holding in GG Eco Energy Limited, confirmed in the last interim, what is the purpose of this joint venture? - I note when you google the company name it says the registered address for the company is Origen Capital Llp, London and Gerry Madden an active director?
2. Again, from the interims it was highlighted that Pluckanes Windfarm Limited would likely be disposed, at a loss, within Q4 2018. Would this sale constitute a RNS or is this something share holders will read about within the final results, assessing held for sale assets/ discontinued ops?

Board, general question about LSE, is it common for them miss transactions from the 'recent share trades' listing. I note for example, 17 trades today, yet they are only listing 14, discarding the first 3 from this morning? Probably just one of those things...
