The exclusivity fees were for one thing only, exclusivity. In the case where the exclusivity period expires, that is the end of the matter. Where the exclusivity period has expired, RRR can do something else.

DAL got what it paid for. Consideration is what is paid in respect of a contract. The exclusivity fees were not mentioned because they weren't part of the purchase contract consideration.

An assumption in all these things is that the reader understands basic Company Law and basic Contract Law.
