LONDON (Alliance News) - Johnston Press PLC late Wednesday said a shareholder with a significant holding in the business has sold its entire stake. The news company said Vidacos Nominees Ltd sold 12.6 million shares on Tuesday. Vidacos, Orbis Asset Management and Orbis Investment Management are all held under parent company Orbis Allan Gray Ltd. Johnston Press confirmed the shareholding represented at least an 11% stake in the business, but not detail the exact stake held prior to the sale. Based on the company's issued share capital on Wednesday, the stake that was sold was equal to an 11.89% stake. Johnston Press, as of November 8, 2016, said Orbis Investment Management Ltd was its largest shareholder with a 12.97% stake. The sale was completed on Tuesday. Johnston Press held a general meeting on Wednesday, when shareholders approved the sale of Johnston Publishing East Anglia Ltd, which received minimal opposition. Amendments to the Super Senior Revolving Credit Facility Following the announcement on 4 October 2016, the Company is pleased to report that it has agreed further changes to the terms of its Super Senior Revolving Credit Facility with all of the lenders providing that facility. The amended terms are effective immediately and will provide the Group with a revolving credit facility of £10.0 million, such amount reducing over time until 30 June 2018 (the "Amended Facility"). The Amended Facility will be tested against revised leverage ratio covenants (tested quarterly), with an obligation to prepay and cancel the Amended Facility with 75 per cent. of net cash proceeds of any disposals outside of the ordinary course that the Company receives on or prior to 31 December 2016 and 100 per cent. of net cash proceeds of any subsequent such disposals thereafter. The Amended Facility currently remains undrawn. On 16 December 2016 the Company announced that its subsidiary, Johnston Publishing Limited, had entered into a conditional agreement to sell the entire issued share capital of Johnston Publishing East Anglia Limited to Iliffe Media Limited for cash consideration of £17.0 million (the "Disposal"). The Disposal is conditional on shareholder approval. If the Disposal is completed, the Amended Facility will be cancelled.

I was'nt referring to the offices in Leeds which JPR are tenants, I was referring to the offices in Sheffield used by the Sheffield star newspaper, JPR have put the building up for sale or may modernise and sell but it's on the market

Based on TNI shares in issue 3x JPR , debt very similar ,however TNI revenue 2.4 X JPR's share price on a level playing field could be 1.20 - 1.50 .. definitely value in JPR and CA know it hence averaging down their investment , just need to be patient and let this unfold

Gents , Don't forget JPR are selling local newspapers titles and just sold IOM for 4.5 million and offices Sheffield head office on the Market this week , my guess to pay doen the debt with the reduced bonds. Also shrewdly JPR have now bought a national newspaper !! ,which last year that paper alone whilst with independent selling 270,000 copies per day at 40p made 5.5million profit with sales revenue of 47 million , now JPR are selling the new national paper into Ireland , which has increased sales to circa 300,000 per day x 6 at 50p and launched a web site in April, which is seeing 1.6 million visitors , add the extra revenues from newspaper and the web advertising and the extra sales could easily see this help increase JPR profits and revenues for 2017 and certainly offset the slow down in sales noticed within the local newspaper sector .

Yeah I get that but CA did end up buying 2 million shares at .15 after trading last weds ... Good news is they added another 2 million shares following the meeting.. Share value must be at least circa 50p with purchase of a national newspaper for 25 million with profits of 5 million even before JP expanded into Ireland and created a web site for I ... now with 1.6million views .. I know local papers are struggling but with the I Newspaer things good balance out with national coverage let's hope things start to improve and profits increase from the current forecast of 44 million

Mmmmm so Crystal Amber meet with the board ,that same day the share price rockets to 18.5p , board issue a statement at 3.20p.m saying "don't know any reason for the stock price increase" , price drops back to 13p tonight's RNS Crystal Amber bought 2 million shares , so question did they buy at the deflated price ? , or have JPR crossed a line reference the message , which obvious;y was to deflate the spike in the share price , so to allow Crystal Amber to buy up shares on the cheap.. On that news the meeting must have gone well ,clearly good information on progress and i newspaper sales ... with them investing another £250,000 , only one place this share price going and that's North after that news...

Is it because the I Newspaper now costs 50p :-) ....... but what a joke today from our directors RNS ... not sure why the share's increased 87% , and knows of no operational or corporate reason for the price movement. maybe something to do with Crystal Amber ? , 5 million shares traded today and nothing happening ? 2 million changing hands after hours for 15p, after our share price has been stuck at 8p for weeks with a few thousand a day changing hands, which after today's rise still only valuing JPR at 16 million , Paid 25 million for a national newspaper with yearly profits of 5.5 million before JPR increased sales by moving the paper into Ireland , local papers do ok, but as we know a good national newspaper can do so much more with readership at 300,000 per day ,advertising and launch of the digital website for I Newspaper things can only improve from here.
