Mike we have had a debate about the CFO many times. I tend to agree with you however the post exists and will not change. As far as cost savings, be under no illusion that Execs will disappear if merger happens. They have a novel way to get fitted in.

Much has been made regarding MS likely position, he would retain an interest in Delts asset. That is true to a point, however currently he has a significant controlling influence within Delt which would diminish by approx 50% within a mergered organisation. I have my doubts he would accept without some additional controlling holding in IOG?DELT.

it would be a dangerous game for IOG to play and could easily backfire on them. Remeber they are a relative NS tiddler and need to grow or be taken over. Any current or future suitor would be very wary. In many ways the delay is encouraging as there much going on behind the scenes. UNlike the RBD affair which was completely ill thought out and as we oberved went absolutely no where.

If the deal finalises on 1-3 shares the outcome is more or less a 50/50 split . Delt's assets have been itemised, what exactly will IOG bring to the party? If their asset equate to Delt's then there is reason not to agree the exposure remains fair and equitable.
The big question is what is IOG's assets ?

Major, MS may well but remeber his average is above 3p. He achieved a signifacnt in terest bothe when Buying Algy Cluff's options in April 2019 at 3.5p and a huge tranche of the June 2019 placing. I am inclined to think the value of known assets under control of Delt and it's partner, Shell, is markedly more than disclosed. A yardstick to use is the Company's recent presentation where de-risked NAV is 7.6p.
If that figure is used and say a reasonable discount applied, there is still a considerable gap between the figures being banded around.
Cannot see a deal getting traction at less than 3.5p .

We can be pretty sure the main player here will be Michael Spencer. Without his approval it will not happen.

mike here's a scenario should a reasonable offer materialize, GS and AN would be part of the Exec team on IOG. they will not wish to lose their current remunerations. Would you support the offer?

Unless IOG were to make an hostile bid ( highly unlikely until they had picked up a large holding) it would be surprising if they, either direct or more likely using an Intermediary, are testing the water on acceptable offer. That would, as a matter of protocol flow through the CEO who will be duty bound to consult with major holders.

Unless IOG are fronting for a bigger player, an all share offer appears to be what is likely. Financial commentators appear to think so!

Can add, have family who live on the verge of the Square mile, who called me yesterday. I could not believe what I was hearing.
Pubs (Fullers,Adnams etc) in and around the City were open mid-week last week but closed on Saturday and Sunday, unbelieveable when Saturday was the start of the Premier league. Those open Pubs had a dearth of punters and some restruants were in a similiar state.......open but empty and staff proping up the furniture.

If as rumoured curfew comes in, this will deal a devastating blow to the hospitality industry. One does wonder why inflict such Economic damage...some are even saying lessen controls and allow the Virus to run it's course. A dramatic course but what is worse....Economic Ruin or Health collapse. I know what I prefer!!

The Beer and Pub Association have already stated 37% of opened Pubs ran at a loss during August, a peak month.

There is no doubt something radical is needed to restore commercial viabilty for the whole sector, otherwise there will be mass closures and not just Marstons.

Yes public listed companys are open to be bought, but there are certain company's where security is concerned the Gov would have a say. Do'nt forget the OGA will have a say . I have a friend who tried to buy an apartment in Moscow...impossible!!
