Karl be aware in agreeing the previous loan waivers dividends cannot be resumed without agreement of the Loan Note holders. That was 2020 and we are now under further waiver agreements which will be reviewed just after the end of this month. Cannot see divs being considered until debt is below £1b, hope I am wrong as it was dividend that brought me here.

C&C, basically Bulmers and Magners have debts 1/3 of their net assets and incidentally Chaired by one Ralph Findlay late of this parish.

DP allotting 13% of the last fund issue is hardly equitable for the overwhelming majority of Shareholders. When seen alongside the 2019 raise when Ordinary PI's were granted NIL. Many of us have experienced at least 2 Fund raises which however it is viewed have seen dilution.
Understand recent investors have and continue to do so, accumulate relatively cheap shares. LTH's can do exactly the same, however the major holders retain massive holdings in comparison with 5 years ago, which ultimately have been built for a reason.
There is no reason why the fund raises were not underwritten, which would have given EVERY shareholder an equal opportunity.
Whereas new investors may have little sympathy for Investors who have remained loyal these last years, one can hope it does not ultimately happen again when a further fund raise occurs.

DP the reasoning you put forward is flawed and therefore not aligned.

The fund raise in June 2019 under the company's former name Cluff Natural Resources, was not open to ALL shareholders but just 1 and outside Institutions. That raised circa £15m. Michael Spencer acquired shares valued at £3m.

That Fund raise/Placing, DENIED ordinary PI's from applying.

Fund Raise Sept 2022 saw MS and Wife acquire shares valued at £4m. approx 1 NS for every 2.5 held. Richard Sneller subscribed for shares valued at £1.5m or 1 NS for every 4 held.
Officers were allowed & subscribed for at total of 2.28m shares or 1 NS for every 2 held.

Ordinary PI's were allowed to subscribe for, £2m in share value or 1 NS for every 24 held.
The total Raise was a tad over £15m.

How do those numbers confirm fair equity?
Ordinary Shareholders are getting a smaller share of the PIE.

As predicted when the JV was confirmed, Carlsberg, who is the senior partner, will gradually dispose of the Breweries Marstons had aquired. Which is next on the list, Wychwood,Jennings, Ringwood or dare one say Banks? Carlsberg have history, just look at Tetley.
Centralisation can be a good thing, it can also be bad for Local services and of course Staff.
It will be good to see the net consideration, Karl, do you have it amongst the SP projections being suggested, which may suit a Trader but are OTT, imo.

I decided that they had to be silenced so I reported their posts as being insulting. They weren't insulting, they were just truthful, but being a snitch made me feel good. It reminded me of my school days when I learned to use sneaky tricks to get other kids into trouble. One of those sneaky tricks was making false accusations against my victims. That is now known as DARVO. I learned that trick when I was quite young and I still use that and the other nefarious methods in my adult life.

Deep inside I know that I was fool for ignoring the well-meant warnings, but I block those thoughts. I love myself. I am never wrong and anyone who points out my contradictory statements and hypocrisy is a liar because I never said the things I said.

I will prove that being a snitcher makes you richer - just wait, you'll see. The Moonshot is about to happen and the fact that I have been wrong about it for two years is irrelevant because I am never wrong. The two people who said the sp would drop are wrong not me - the sp hasn't dropped and I never lie.

Speaking for myself, my posts have been of an informative nature, with opinions. These boards can be a cesspit of vitriol. Shempsky's constant nonsense has been brought to the attention of the Monitors who one trusts will act to stop the disruptive behaviour.
Most on these boards act with anonomity, which is just as well, as if individuals backgrounds are known, the abusers would think twice.
I'll not stand idly by and read outrageous false allegations, can turn the other cheek only so many times until a response is neccesary.

As the report makes clear and as stated here several days ago, Brewers are under pressure to offset the big imput and supply costs, that every drinks producer is facing. It remains to be seen how the end user reacts. Micro Breweries, who are better placed to absorb costs ( they brew on the spot, have limited Labour costs as owners multi task etc) are suffering from lower demand. Large Brewers can and do use the economies of scale, but cannot realistically control labour and distribution costs.

Bubble yep prices rise and fall that is the nature of the market. There are usually reasons, internal or often external ( Governments etc), however we are lower than before the Gas discovery and hugely lower than the last fund raise.
To use a well applied phrase we are sitting on Black Gold and yet the market does not recognise or know something we do'nt. One thing is certain GS is not doing a good job promoting the company's excellent position.

Bubbles the UK's primary and fundamental need to protect our energy supply, the discovery of a major Gas field, irrespective of Development plans etc, why has the SP tanked when given the news stated, should be at least double the current level?
Many of us have been patient for a long time and would not have expected value to decline. If the BOD are ignorant to the market, they should be removed, if not a Statement is essential

As some of us have been saying since the last but one Fund raise, this is a likely candidate for going private. What other reason can there be to the blatant manipulation of the SP.

Purdey, you will find Hargreaves like II are trustees of individual PI's holdings. There ways once enough major shareholders acting in concert could take Delt private, if they consider greater value could accumulate in their favour. The Shareholder's Agreement needs reading. In essence unless the Agreement says otherwise, a simple majority could give the authority to go private and smaller holders could be offered a price for shares which had been valued by some autonimous body. A value which may be regarded as fair but denies PI's a share in the real and total value (future or otherwise) of the Company.
Many will hope that scenario does not materialise, however it is and becomes more and more difficult to understand what is going on with the SP.
MS & RS have invested heavily and at prices much higher than existing SP, are they happy, or do they know an agenda we can only speculate on?

Worse case scenario.......ordinary PI's wiped out ( Highly unlikely), further dilution of shareholdings is the most likely "worse case scenario. Obviously none of us want this ( except 1 or 2 wellknown reprobates)
The concern I have is small shareholders will be in such a minority ( shares wise) the major holders will take the company Private.
Algy Cluff still holds here and although he supposely retired from the Oil Business when he stepped down here and handed the reins to Swindells, within 2 months he (AC) set up private company with Michael Spencer ( Cluff Energy Africa). Make of it what you will.
