Wolffie do pls impart your great knowledge on this … why are Cineworlds debtors and creditors advisors agreeing to spending and interested equally in the tax work EY are doing, $2m worth or several thousands hours of input. Doing the tax comp maybe? I’d be interested to hear what gems of wisdom those brain cells of yours thinks here

I think I got 2+2=4 cos new co cannot have the $750m odd of tax losses without shareholders compromising and “selling” them … NOL Equity Trading Motion and all that plus all the tax structuring work EY are doing Wolffie old bean …

There will be heaps of finalisation going on with not just the lenders, investment bankers and creditors wanting answers on inter company balances … there is a $70m odd SINGLE MONTH inter company charge in one of the December accounts that came out yesterday, may be a credit can’t remember

And if you accuse me of pigeon accounting heaps of this inter company stuff / balances came up in the creditors final info request … eventually that will all have to tie back to new agreements that are executed as well as the principles of that docket 46 you highlighted…

$60m divided by $4bn or $4.8bn (the difference being the $800m possible equity placement with the bankers) would leave us either 98.5% or 98.75% diluted, so no big difference … don’t forget the dosh for the tax losses and Mooky fighting our corner for a few extra scraps (the gravy, cranberry sauce and roast potatoes if you like) if there is nothing left of his 20% turkey …

Wolffie why are you still hinting or alluding to anything other than a 100% wipe out for existing shareholders… we have gone through in this board issues like the takeover panel (which on a technicality is now outside their remit), FCA monitoring, Investec involvement somewhere, tax losses, loads of capital restructuring by many advisors and many banks … at the moment it is the debtors advisors … PJT Investment Bank and Kirkland and Ellis more specifically… who will shortlist the best of the scenarios AFTER consultation with Cineworld board of directors to the lenders, this includes Mooky not voting himself a Turkey for Xmas (maybe come out of it with only 1 leg and no feathers on) … but ZERO is not the answer for current shareholders and the perceived optimism that is out there after this week

Wolffie Hexam calculated a stat the other day $60m current market cap / $4bn “valuation” (the only figure out there), meaning we get diluted by 98.5% … I would say that’s positive to us when news comes out what they may do … I see that as not a bad outcome to where we are currently at 4p per share

Also I tip my hat to you on docket 46, I had a good read over that if they go a sale route and all we are left with is ROW

… plus there is the Brucey Bonus of us getting something out of the tax losses and Mooky fighting the corner for him and us …

So there’s more to be positive about than you suggest as the doom and gloom of C7 is not going to happen…

Hi all, my chip in for what it’s worth is many sale, dilution or other reorganisation issues still on table, would have thought share price would have reacted more today … it’s quite a jump to go from $60m market cap to $4bn (with 98% odd dilution) if those are the numbers out there, still I do see a spike happening at sometime

It’s also clear they want Mooky out “after a transition period” and why they say normal industry due diligence like in a M&A, who wouldn’t after such disaster …

… some hope I think rests on Mooky QA ing some of the deals that have come in before presenting to lenders … the debtor advisor said yesterday that would be the order (board of directors first) plus their investment banker are running that part of the show per the articles yesterday before getting lenders fully briefed

Yes, guess we have to wait a couple of weeks or more for the market to work out what it wants to do, believe the status conference is due to continue on 21 March and Plan submitted on 2 March (after binding offer period ends), so will be a while yet until a RNS comes out

Also Hexam, I assume your at least 1.5% (98.5% dilution) you calculate as $60m current market cap divided by $4bn valuation? Do you think the market will see the whole Cine business as worth as much as that? This is the first “valuation” that someone is putting out there, do you also need to take account of the $800m rights offering somewhere in your 1.5% though?

Can anyone unpick the sentence in the third paragraph here “we of course do not have commitments for the financing or the equity. We have agreement on the terms. But suffice it to say ….”
