• The investor will provide up to US$100m over to be used to fund 100% of capital

expenditures (“CAPEX”) related to the drilling, completing and equipping of newly

acquired non-operated assets in a defined Program Area

• The Program Area consists of counties in the Williston Basin and the partnership

term is an initial six months

• The Investor will elect to participate in opportunities at its discretion, on a case-bycase basis, after conducting its own financial and technical verification

• Zephyr will be responsible for any acquisition costs and will retain a right (but not

an obligation) to co-fund up to 33% of pro rata CAPEX

• The Investor will earn a majority of the cash flows generated by its pro rata working

interest in each well until an agreed upon initial hurdle rate is met

• Agreement provides for asset level ownership in working interests – not debt,

and no repayment obligations.

The Investor will earn a majority of the cash flows

Most of Colin's holdings (8.25%) are in Origin Creek energy

Colin Harrington has a total interest in 8.33% of the current issued share capital. Of that, 8.25% is held by Origin Creek Energy LLC (“OCE”). Rick Grant, the Chairman of Zephyr, and Colin Harrington, the CEO of Zephyr, are both shareholders and directors of OCE, and Colin Harrington is indirectly the controlling shareholder of OCE.

expected by 30 June 2025, the Directors and management of the Company are prohibited from acquiring

shares in the Placing at this time. However, certain of the Directors, management and their affiliates have

confirmed that following the publication of the Results by 30 June 2025, that they intend to subscribe for

new Ordinary Shares at the Issue Price to raise a further £0.7 million (before expenses) for the Company

(and such amount may be increased), which is expected to complete alongside the Second Placing subject

Following the fantastic result from the Paradox Basin last week I have spoken to Colin and will write more tomorrow. Suffice it to say that as what is one of the top 10% of all US wells it has the scope to change life in the Paradox for ever. But the Zephyr management has always been better than that and the acquisition of non-operated production has shown the vast gap between them and the rest.

They say ‘everything we do in the Williston is a foundation to help us build the Paradox. We need to grow on both sides and good news in the last few days on both fronts’. This makes so much sense that I think we are going to see plenty of deals being sourced made easier by current market conditions.

Zephyr is quite categorically amongst the best value stocks in the sector and I look forward to adding more in due course.
