That is for a Special resolution, for an ordinary one once they control the board it is simply a majority vote threshold.

If they agree a consortium vote and once private sell their interest on the back of asset sales- they can. I've seen this before.

My fear is that the majority shareholders (having set a min price they would accept as a public listed TO) will then take control of the company through AGM resolutions and board nominations and thereafter take it private on the cheap, and, I mean really cheap. The more the SP falls the easier to gain control.

A UT trade is not a one side sell.. it is a matched price during the auction period so the volume is the exchange between parties; not one sided.

Query - if the PUSU deadline expired last Saturday and the parties named in the February extension have pulled out, can anyone tell me why there is a continuance of the offer period rules when they has been no announcement to indicate that other parties were also subject to the period?

AGM in May and the board will be acutely aware of their backsides being on the line now. Six weeks to sort out this mess and sell a decent plan not platitudes.. Retail never seem to use their vote but please do - that is of course if any of you still own the shares by then. I will as I didn't over commit but neither will I buy anymore.
