“ Kibo Energy PLC ('Kibo' or the 'Company'), the multi-asset, Africa focused, energy company is pleased to announce that its 100% UK subsidiary, Sloane Developments Ltd. ('Sloane'), has progressed the acquisition transaction announced in the RNS of 07 September 2020, to the point where it is now busy finalizing a definitive Share Purchase Agreement ("SPA") to acquire 100% of the 9MW flexible gas power project (the 'Acquisition').”

This is required because kibo is not registered in the UK - it is registered in Dublin. Therefore such votes will only be ‘standard’ for non UK registered firms.

Kiwi I am not trying to scaremonger in order to buy cheap shares.
I suggest you read the RNS and take it from me that the kibo BoD are taking it seriously.
I have nothing to gain here other than ensuring my holding can still be dealt with on AIM.

It would also put at risk the continued admission to trading and listing of the Shares on AIM as the absence of electronic settlement of Shares traded on AIM would mean that the Company would cease to meet the eligibility criteria for admission to trading on AIM.“

The EGM is being convened to seek the approval of shareholders to certain resolutions which are intended to facilitate the migration of the Company's ordinary shares from the CREST System to the central securities depository ("CSD") system operated by Euroclear Bank SA/NV, an international CSD incorporated in Belgium, following the withdrawal of the UK from the EU, and to make subsequent changes to the Company's Articles of Association (the "Resolutions").

Apparently the business being undertaken at the EGM on 22/02/21 is very important. The proposals need to be approved by a minimum of one third of all issued shares, and of those voted shares a minimum of 75% need to be in favour. The consequences could be the de-listing of kibo shares from AIM.

Hopefully no further consolidations at this time but it is kibo so who knows?

I voted for all 3 proposals.

I have nominee holdings with both ii and Hargreaves. In both instances I used the Secure Message facility to instruct them to vote for me. I also asked for a confirmation that they had complied with my request.

If you hold shares in a Nominee account you can ask your Broker to vote on your behalf. Some have Corporate Action departments who will notify you of the impending vote, if you have requested this service, or else send the Broker a message through their secure message facility. Always ask them to confirm your instructions.

Kibo Energy PLC ('Kibo' or the 'Company'), the multi-asset, Africa focused, energy company is pleased to announce, further to the RNS dated 23 July 2020 that MAST Energy Developments Plc ("MED") has approved its pathfinder prospectus to seek admission ("Admission") of its ordinary shares to the Official List of the London Stock Exchange plc ("London Stock Exchange" or "LSE") by way of a Standard Listing and is commencing its roadshow this week to raise c. GBP4.5 million with an initial target market capitalisation of approximately c. GBP20 million. MED will remain a Kibo subsidiary after listing with Kibo holding at least 55% of MED on the day of Admission.

As it is a “mutually binding “ Term Sheet then would any buyer be bound by it?
