What an incredible week with the Global CPO’s of Sidara. A community that has grown so much. It was a joy to connect with long time colleagues, and spend time with leadership of TYLin and Perkins&Will , in Chicago, - thank you to Matthew Cummings and Lindsey Peckinpaugh for your generosity in spending time with the global team. To my awesome colleagues Amber Hamilton, MBA, SHRM-SCP Ken Simcox James Grinnell (FCIPD) Rachel Jordan-Evans Chartered FCIPD Phillip Farrow FCIPDPreethi Santhanam and Nick Shutz, thanks for a great week of collaborating, solutioning and visioning for the future. Exciting times are ahead for sure! Safe travels home everyone.

As you know this contract win released last week, if WG was about to go into administration do you think it would be constantly winning major contracts.

Vioneo has awarded Wood, a global leader in consulting and engineering, a multi-million dollar FEED contract to deliver the front-end engineering design for its revolutionary plant which will produce fossil-free plastics using green methanol. Based in Antwerp, Belgium, the renewably powered and energy efficient plant will be the first facility in the world capable of achieving this at industrial scale.

Gerry Traynor, President of Eastern Hemisphere Projects at Wood said, “Demand for fossil-free plastics in Europe is growing and Vioneo is developing an exciting project that will accelerate the decarbonisation of Europe’s plastics sector. Wood’s strong track record of delivering world-first projects of this size and scale will support Vioneo’s ambitions of becoming the leading producer of fossil-free plastics in Europe.”

Vioneo is owned by A.P. Moller Holding, the investment arm of A.P. Moller Group and was launched as part of its commitment to advancing green methanol production and promoting sustainable practices in the plastics industry

If Sidara place a firm bid (nothing firm at the moment) the green light sign will be given to any other company who are sat waiting patiently to place their offer. Any other company will not do anything until results are revealed and Sidara confirm what the firm offer is on the table.

Worley is a company that provides project and asset services with a focus on the energy, chemicals, and resources sectors.

AECOM is an infrastructure consulting firm that designs, builds, finances, and operates infrastructure assets for governments, businesses, and organizations.

Kiewit is a company that provides construction and engineering solutions.

EMCOR Group is a company that provides electrical and mechanical construction and facilities services, building services, and industrial services

AtkinsRéalis Group (formerly known as SNC-Lavalin) is a company that provides consulting, design, engineering, construction, operations, and maintenance services.

Fluor is a company that provides engineering, procurement, and construction (EPC) solutions.

Saipem S.p.A. is an Italian multinational oilfield services company and one of the largest in the world

Another bidder will emerge, I cannot believe that only Sidara are interested in buying WG, especially as the board have now stated that the company is for sale at the right price.

All offers to be submitted formally by 15th May

WG haven’t accepted 35p, the wording in the RNS was that Wood Board would be minded to recommend.

Which means a company board is inclined to suggest a takeover deal or other proposal to its shareholders, but is not yet fully committed.

All to play for !

Let’s hope that during the suspension period KG, the Board and major investors have second thoughts and reject the Sidara offer.

The YE results will give a new focus, debt refinance done and dusted and winning new contracts weekly. Sidara can then come back again in 6 months time and have another crack at taking over WG for a price that reflects the true value of the business.

WG received a cash bid of 35p per share from Sidara, which the board said it would be minded to accept. Sidara maybe offered less but the fact is 35p is the amount together a possible capital injection of $450 million non binding that the was agreed by both parties.

If another offer comes in when the results are published, Sidara will have to have a plan B

Ken Gilmartin maybe playing a game with Sidara, I am sure he will be having conversations with the CEO at Apollo Global Management regarding a revised bid based on YE2024 results.

There will have been plenty of audit documents that are controlled by WG that can be shown to Apollo. I would foresee that KG is stringing Sidara along knowing he will get an increased offer from Apollo.

If Apollo wanted WG in the past, why not now? With lots of new investment that Apollo are putting into in Energos Infrastructure and other major investment projects, WG would be a good addition at a very reduced price to what it was prepared to pay. All the expertise and the existing set up, this is an opportunity not to missed again.

Hi Bob, agree with your comments, seems to me that the company could easily turn this around. It does need a recognised CEO who will be able to make the changes required to put right everything that is under performing.

Sidara should have been shown the door at anything under £1.50, I am confident that the accounts will show creative accounting to reduce the losses, also progress on the loans/debt management facility and a future pipeline that gets WG on track in 2026 with huge gains for 2026 with exciting new global contracts.

The draft review was completed by Deloitte and issued to WG in Feb, WG have been working on the issues since then to produce the final year end accounts which includes a number of prior year adjustments expected to be required to the income statement and balance sheet.

15th May could be the date when results will be released to allow Sidara to firm bid. Sidara will have already seen this prior to the RNS release under an NDA

Apollo and another waiting patently for Sidara to place firm bid before submitting increased off !!! Imho

Sidara and WG will agree on a price behind closed doors, an RNS will follow on the same day to announce the results and the takeover, thus preventing anyone from making money from share price after 30th April.

Shorters are running out of time, their will be locked in, AimMaster2018 knows this that’s why he is telling porkies consistently.
