The condition precedent that was not met was only added to the term sheet on 16/12 (hence why we have the RNS now and not earlier I guess - my words). Under Kenyan law it was not possible for the Kenyan govt. to provide security over the Kilimapesa mining licence to OCIM (i.e. no fault of the Kenyan Govt, who are really trying to push mining development and are really upset about the deal falling through).
In the original term sheet GCAT had to provide share pledges over the shares in the Kenya company - which they did. RM also added that they are working on communication and clarity on timelines as a priority. GLA, Dan

My understanding of this wording is that GCAT did not want to be in a position where the mining licences would belong to OCIM in case of default (i.e. GCAT not being able to produce the required number of ozs). Just for some info. I took this from the RNS on 31/8/21 at GDP;
'Goldplat has received 103,846,154 shares in Caracal (representing 7.17% of its issued share capital) as consideration for the sale of Kilimapesa, to be held for minimum of 12 months. In addition, the Group is due to receive a further cash payment of USD450,000 in the next two weeks and is also entitled to a 1% net smelter royalty, limited to USD1,500,000, of which circa USD14,000 is already payable.'
The further cash payment of USD450,000 was taken in shares (GDP RNS of 1/3/22). GLA, Dan
