RE: Sharehoders EGM to wind up and distribute?28 Aug 2020 10:00
Betterupthanlimp you need 5% of shareholders to call an EGM, and you then need specific resolutions to vote on.
As always, you need more than 50% of the votes on the resolutions for them to be carried.
I have done this before with an AIM company where I stepped in and replaced the entire Board, with a degree of success.
I am currently looking at North Energy which is Oslo based and you need 10% of shareholders to call an EGM but over there it is much easier to dissolve a company and distribute the assets. A better result there to achieve shareholder value would be for a joint listing on the London AIM market, and I have an existing company lined up, not this one!
North has 10% of TXP Touchstone Exploration which is really motoring plus a chunk of Reach Subsea a Norway oil service company. Currently trading at a 50% discount to NAV (dyor) and quarterly results out on Monday, which should be really strong.
