Newco Board

On completion of the Acquisition, the Newco Board would be as follows:

· three board members nominated by Premier, including the Chairman (with no casting vote);

· three board members from the management team, including the Chief Executive and Finance Director; and

Shareholders need to ring fence circum shares for shareholder IE no loans against them and no further debt build up by GR.
As for the new entity, well time will tell.

If the assets are spun off, then prem should transfer the full value on circum to shareholders alone. Newco can finance itself. And gr salary from prem halt on transfer.
